1. Introduction

2. Scope of Work

3. Term and Termination
3.1 Term
This Contract shall commence on April 1, 2050, and shall continue until March 31, 2051, unless terminated earlier as provided herein. This period allows sufficient time for the completion of the specified project, with allowances for adjustments as mutually agreed upon.
3.2 Termination
Either party may terminate this Contract upon 30 days written notice to the other party. This notice period is intended to provide both parties with adequate time to adjust their plans and mitigate any potential disruptions to their operations.
4. Compensation
4.1 Fees
This Contract shall commence on April 1, 2050, and shall continue until March 31, 2051, unless terminated earlier as provided herein. This period allows sufficient time for the completion of the specified project, with allowances for adjustments as mutually agreed upon.
4.2 Expenses
The Contractor shall be responsible for all expenses incurred while performing Services under this Contract. This includes but is not limited to, materials, travel, and any third-party consultation fees necessary to fulfill the obligations of this contract.
5. Confidentiality
The Contractor acknowledges that during the engagement, it will have access to and become acquainted with various trade secrets, inventions, innovations, processes, information, records, and specifications owned or licensed by the Client and/or used by the Client in connection with the operation of its business including, without limitation, the Client's business and product processes, methods, customer lists, accounts, and procedures. The Contractor agrees to keep all such confidential material in the strictest confidence.
6. Intellectual Property
6.1 Ownership
All work products developed by the Contractor under this Contract, including but not limited to reports, diagrams, code, and documents, will be the exclusive property of the Client. This transfer of ownership acknowledges the Client's rights to fully utilize the outcomes of the services for their intended purposes without limitation.
6.2 Rights to Use
The Contractor grants the Client a non-exclusive, worldwide, perpetual license to use any work products developed by the Contractor as part of the Services. This license ensures that the Client can use, modify, and distribute the work products as needed for their business operations, while still allowing the Contractor to retain the right to use such work products for their portfolio, subject to confidentiality constraints.
7. Independent Contractor Status
The Contractor is engaged as an independent contractor. Nothing contained in this Contract shall be deemed to create any association, partnership, joint venture, or relationship of principal and agent between the parties.
8. General Provisions
8.1 Governing Law
