SOFTWARE FREELANCE CONTRACT
This Software Freelance Contract (the "Contract") is made effective as of [Date], by and between [Your Name], with an address of [Your Address] (the "Freelancer"), and [Client Name], with an address of [Client Address] (the "Client").
1. DESCRIPTION OF SERVICES
The Freelancer agrees to provide comprehensive software development services. These services are designed to meet the project's specifications within the agreed timeframe and include:

2. PAYMENT FOR SERVICES
The Client shall compensate the Freelancer for the performed services as described herein. The compensation arrangement may include milestones, hourly rates, or a project-based fee structure, detailed as agreed upon by both parties.
3. TERM OF CONTRACT
This Agreement commences on April 1, 2050, and shall continue until March 31, 2051, unless terminated earlier according to the terms set forth herein. This period allows for the comprehensive development, testing, and deployment of the software project, ensuring enough time for iterations and refinements to meet the project's goals and objectives. Early termination can occur if either party breaches the contract terms and fails to remedy such breach within the allotted time specified in the "Termination" section.
4. CONFIDENTIALITY
The Freelancer commits to maintaining the confidentiality of all proprietary information disclosed by the Client during the engagement, protecting it with the same degree of care used for their confidential information. This obligation extends beyond the termination of this Contract.
5. INTELLECTUAL PROPERTY RIGHTS
All intellectual property, including software code, documentation, and related materials developed by the Freelancer under this Agreement, will become the exclusive property of the Client upon full payment for the services rendered. The Freelancer agrees to perform any actions necessary to ensure such ownership rights are properly transferred to the Client.
6. TERMINATION
This Agreement may be terminated by either party with [Number of Days] days’ written notice. Should the Freelancer materially breach the terms of this Agreement, the Client may terminate the contract immediately with written notice, provided the Freelancer has not remedied the breach within [Number of Days] after receiving breach notification.
7. LIMITATION OF LIABILITY
Liability on the part of the Freelancer under this Agreement is limited to the total amount of fees received from the Client for the services that are the subject of the claim.
8. INDEMNIFICATION
The Freelancer shall indemnify and hold the Client harmless against any claims, damages, or costs arising from the Freelancer's services under this Agreement, except for those resulting from the Client's negligence or willful misconduct.
This Agreement sets forth the entire understanding between the parties regarding the subject matter herein and supersedes all prior discussions, agreements, or understandings of any kind. Modifications to this Agreement must be made in writing and signed by both parties.
