PODCAST CONTRACT

This Podcast Contract (the “Contract ”) is entered into under the effective date of (Date) by [Producer’s Name] (hereinafter referred to as “Producer”), and [Podcast Host's Name] (hereinafter referred to as “Host”). Both parties shall collectively be referred to as the “Parties”.

1. SCOPE OF THE AGREEMENT

This Agreement outlines the collaborative framework for the production, distribution, and overall management of the podcast titled (the "Podcast"), as produced by the Producer and hosted by the Host, including their authorized representatives (collectively, the "Authorized Parties").

2. ROLES AND RESPONSIBILITIES

The Producer and the Host shall engage in a cooperative partnership, committing to perform their designated roles and responsibilities with diligence, professionalism, and in good faith throughout the term of this Agreement.

3. DISTRIBUTION RIGHTS

The Host hereby grants to the Producer an exclusive, worldwide license to distribute the Podcast. This grant encompasses the rights to distribute, reproduce, publicly display, perform, and create derivative works based on the Podcast in any media format and through any media channels.

4. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights on the Podcast, including but not limited to copyrights, trademarks, software, scripts, graphics, photographs, sound recordings, music, videos, interactive features, and related materials ("Intellectual Property"), shall be the sole property of the Producer, except as may be otherwise agreed in a written document signed by both parties.

5. SPONSORSHIP AND REVENUE SHARING

Revenue from sponsorships will be shared as follows:

• Production Costs: Initial sponsorship revenue of up to $5,000 annually covers production costs.

• Revenue Split: After covering production costs:

  • Producer: 70% of remaining sponsorship revenue.

  • Host: 30% of remaining sponsorship revenue.

• Payment Schedule: Quarterly payments to the Host within 30 days of each quarter's end, accompanied by a revenue report.

• Audit Rights: The Host can audit the Producer's sponsorship revenue records once per year, at the Host's expense, to ensure compliance with this agreement. If discrepancies favoring the Host exceed 5%, the Producer will bear the audit costs.

Any discrepancies found will be corrected within 15 days through reimbursement or additional payment as needed.

This structure ensures a transparent and equitable sharing of sponsorship revenues, reflecting each party's contribution to the podcast.

6. CONTENT GUIDELINES

The Parties commit to adhering to the established content guidelines, which may be revised or updated through mutual consent. These guidelines are designed to ensure the Podcast's content integrity, legal compliance, and alignment with the Parties' shared values.

7. TERM AND TERMINATION

This Agreement is effective as of the date of signing and shall continue in effect until terminated by either party under the termination provisions outlined herein.

8. CONFIDENTIALITY

Each party agrees to maintain the confidentiality of all proprietary information, trade secrets, and other sensitive information of the other party, disclosing such information only as required by law or with the other party's written consent.

9. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by the laws of [Jurisdiction], without regard to its conflict of law principles. The Parties hereby submit to the exclusive jurisdiction of the courts located within [Jurisdiction] for the resolution of any disputes arising out of this Agreement.

10. ENTIRE AGREEMENT

This document constitutes the full and entire understanding and agreement between the Parties regarding the subject matter herein. Any amendments or modifications to this Agreement must be made in writing and signed by both Parties.
