Freelance Animation Contract

This Freelance Animation Contract ("Contract") is entered into between [YOUR NAME], henceforth referred to as the "Animator," and [Client's Name], henceforth referred to as the "Client," on [Date of Contract].

1. Scope of Work

The Animator shall perform the animation services (the "Services") as described in detail in the Statement Of Work attached hereto (the "Project"). The Animator’s delivery of the Services is subject to the technical specifications, timelines, and other parameters for deliverables as described in the Statement Of Work. Unless otherwise provided in the Project, the Animator will supply all necessary materials and equipment to provide the Services.

2. Payment Terms:

2.1 Total Project Fee

The total project fee is $5000, payable as follows:

30% of the total fee as an upfront deposit upon signing this Contract.
40% upon completion of the storyboard and character design phase.
30% upon final delivery and acceptance of the completed animation project.

2.2 Payment Schedule

Payment shall be made in USD via bank transfer, within 14 days of receipt of an invoice from the Animator.

2.3 Late Payment

In the event of late payment, the Client agrees to pay a late fee of 5% of the outstanding amount per week until the payment is made in full.

3. Project Timeline:

3.1 Estimated Timeline

The Animator shall provide the Client with an estimated timeline for the completion of the project, with the final delivery date set for June 30, 2050.

3.2 Adherence to Timeline

Both parties agree to adhere to the agreed-upon timeline. Delays caused by the Client, including but not limited to late feedback or failure to provide necessary materials, may result in adjustments to the project timeline and additional fees.

4. Intellectual Property Rights:

4.1 Assignment of Rights

Upon receipt of full payment, the Animator hereby assigns all rights, title, and interest in the completed animation project to XYZ Studios.

4.2 Animator's Usage Rights

The Animator retains the right to use the completed animation project for promotional purposes, including but not limited to showcasing in portfolios, websites, and social media, unless otherwise agreed upon in writing by both parties.

5. Confidentiality:

5.1 Confidentiality Agreement

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the project.

5.2 Survival Clause

The obligation to maintain confidentiality, outlined in this Contract, shall continue to remain in effect even after the termination of this Contract.

6. Termination:

6.1 Termination Conditions

Either party may terminate this Contract upon written notice to the other party in the event of a material breach of the terms outlined herein.

6.2Compensation Upon Termination

In the event of termination, the Client agrees to compensate the Animator for any work completed up to the date of termination, as well as any applicable termination fees outlined in this Contract.

7. Governing Law

The terms, conditions, and overall interpretation of this contract shall be regulated, defined, and understood in compliance with the existing legal regulations, rulings, and controlling statutory provisions that are enacted and imposed by the State of California legislature.

8. Entire Agreement

This Contract constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior agreements and understandings, whether written or oral.

9. Amendments

Both parties must agree upon and sign off on any modifications that are to be made to this contract, and these said amendments must be documented in written form.
