Social Media Marketing Agency Contract
This Social Media Marketing Agency Contract ("Contract") is entered into on March 22, 2050, ("Effective Date") between, [Client Name], located at [Client Address] ("Client"), and [Your Name], located at [Your Company Address] ("Agency").
1. Scope of Services
The Agency agrees to provide social media marketing services to promote the Client's products/services on various social media platforms.
Services may include but are not limited to:
The client agrees to provide necessary information and access to social media accounts for the execution of services.
2. Payment
Client agrees to pay the Agency a fee of $5,000 for the services rendered.
Payment shall be made in USD within 30 days of receipt of the invoice.
Any additional costs incurred, such as ad spend, shall be reimbursed by the Client.

The Agency retains ownership of intellectual property rights related to content created specifically for social media marketing purposes.
Client grants Agency a non-exclusive license to use Client's intellectual property solely to provide the services outlined in this Contract.
6. Limitation of Liability
Except for breaches of confidentiality obligations or intellectual property rights, neither party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages.
The total liability of either party under this Contract, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Client to the Agency under this Contract.
7. Dispute Resolution
Any dispute or claim arising out of or relating to this Contract shall be resolved through negotiation between the parties.
If the dispute cannot be resolved through negotiation, the parties agree to attempt mediation before resorting to litigation.
Any legal action or proceeding arising out of or relating to this Contract shall be brought exclusively in the courts of [Jurisdiction], and each party hereby consents to the jurisdiction and venue of such courts.
