Interim Management Contract

This Interim Management Contract (the "Contract") is dated as of [DATE] and is entered into by and between [Client Name] (Client) and [Your Name] (Interim Manager).

1. ENGAGEMENT

Client hereby engages Interim Manager, and Interim Manager accepts the engagement, under the terms and conditions outlined in this Contract, to provide services to Client, commencing on [START DATE] and ending on [END DATE] (the "Engagement Period").

2. ROLES AND RESPONSIBILITIES

The Interim Manager shall perform the responsibilities and duties and shall have the title and authority, as outlined in this Contract or as the Client may from time to time designate. The Interim Manager agrees to maintain regular communications with the Client regarding progress in accomplishing such duties and responsibilities.

3. COMPENSATION

As consideration for the services provided by the Interim Manager under this Contract, Client shall pay the Interim Manager a fee of [FEE] payable on [PAYMENT DATE].

4. CONFIDENTIALITY

The Interim Manager agrees to keep confidential all non-public information that the Client designates as being confidential or which, under the circumstances surrounding disclosure, ought to be treated as confidential.

5. TERMINATION

Either party may terminate this Contract before the end of the Engagement Period by providing written notice to the other party.

6. INDEMNIFICATION

Both parties agree to indemnify and hold harmless each other from and against any losses, damages, costs, liabilities, and expenses, including, without limitation, legal fees, that either party may incur as a result of the breach of any representation or agreement of the other party in this Contract.

7. GOVERNING LAW

This Contract shall be governed by and construed following the laws of [STATES/PROVINCE AND COUNTRY] without regard to its conflict of laws principles.

This Contract represents the entire agreement between Client and Interim Manager concerning the subject matter of this Contract and supersedes all prior agreements or understandings, written or oral.
