Sales Representative Contract

This Sales Representative Contract ("Contract") is entered into as of [Date] (the “Effective Date”), by and between [Your Company Name], a [State/Country] corporation having its principal place of business at [Your Company Address] ("Company"), and [Sales Representative Name], an individual/entity residing/located at [Sales Representative Address] ("Sales Representative").

Engagement

The Company engages the Sales Representative to act as its sales representative to promote and sell the Company's [products/services] ("Products/Services"). The Sales Representative accepts such engagement and agrees to devote sufficient time and effort to fulfill the duties and responsibilities outlined herein.

Duties and Responsibilities

• The Sales Representative shall diligently promote and market the Products/Services within the territory designated by the Company.

• The Sales Representative shall maintain regular communication with the Company's sales team, provide feedback on market trends, and promptly report any issues or concerns related to sales activities.

• The Sales Representative shall professionally represent the Company and act in the Company's best interests at all times.

Compensation

• In consideration of the Sales Representative's services, the Company shall pay the Sales Representative a commission of [Commission Percentage]% on the net sales generated by the Sales Representative.

• Payment of commissions shall be made every month, within fifteen (15) days following the end of each calendar month, based on the sales generated during that month.

• Payment shall be made via [payment method] and shall be subject to any applicable withholding taxes.

Term and Termination

Confidentiality

The Sales Representative agrees to maintain the confidentiality of all of the Company's confidential data, such as customer lists, pricing details, and trade secrets and is prohibited from disclosing or utilizing this information for anything other than fulfilling their contractual obligations.

Non-Compete

• During the term of this Contract and for a period of [Non-Compete Period] after its termination, the Sales Representative agrees not to engage in any business activities that directly compete with the Company's Products/Services within the designated territory.

• The Sales Representative acknowledges that a breach of this non-compete provision may cause irreparable harm to the Company, and the Company shall be entitled to seek injunctive relief in addition to any other remedies available at law or equity.

Governing Law

This Contract shall be governed by and construed by the laws of [State/Country], without regard to its conflict of laws principles.

Entire Agreement

This Contract constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.
