Landscape Maintenance Contract


This Landscape Maintenance Contract ("Contract") is made and entered into as of this 2nd day of December 2050, by and between:

MisfitCo, a company duly organized and existing under the laws of the State of New Jersey, with its principal place of business located at Jersey City, NJ 07302, and represented by Dayton Rohan, its authorized representative ("Client"), and [Your Company Name], a company duly organized and existing under the laws of the State of New Jersey, with its principal place of business located at [Your Company Address], and represented by [Your Name], its authorized representative ("Service Provider").

Together, the Client and Service Provider shall be referred to as the "Parties."


I. Scope of Services

A. Services Provided

The Service Provider agrees to provide the following landscape maintenance services to the Client ("Services"):

  1. Lawn care, including mowing, trimming, and edging.

  2. Tree and shrub pruning and maintenance.

  3. Fertilization and pest control services.

  4. Irrigation system maintenance and repair.

  5. Seasonal planting and maintenance of flower beds.

  6. Leaf removal and debris cleanup.

  7. Other landscape services as mutually agreed upon by the Parties.

B. Service Schedule

The Services shall be performed according to the following schedule:

  • Weekly maintenance will be performed every Monday starting from January 1, 2051. Additional services will be performed as needed and as agreed upon between the Parties.

  • Specific dates and times for services can be adjusted by mutual agreement.

C. Special Requests

Any special or additional services outside the scope listed above must be agreed upon in writing by both Parties and may incur additional costs. The Service Provider will notify the Client in advance of any such costs.


II. Compensation and Payment Terms

A. Service Fees

The Client agrees to pay the Service Provider a fee of $2,000 per month for the services outlined above. This fee covers all labor, materials, and equipment used in the performance of the services.

B. Payment Schedule

Invoices will be issued on the 1st day of each month. The Client agrees to pay the Service Provider within 30 days of receipt of the invoice. Payments may be made via check, wire transfer, or other mutually agreed-upon payment methods.

C. Late Fees

Any payments not made within 30 days of the invoice date will be subject to a late fee of 5% of the outstanding balance. If payment remains overdue for more than 60 days, the Service Provider reserves the right to suspend further services until payment is made.


III. Term and Termination

A. Term

This Contract will begin on January 1, 2051, and will continue for a period of 12 months unless terminated earlier as provided herein. After the initial term, this Contract will automatically renew on a month-to-month basis unless either Party provides notice of termination.

B. Termination for Convenience

Either Party may terminate this Contract for any reason by providing written notice to the other Party at least 30 days in advance of the termination date.

C. Termination for Cause

This Contract may be terminated by either Party immediately upon written notice if the other Party materially breaches any provision of this Contract and fails to cure the breach within 15 days of receiving written notice of such breach.

D. Effect of Termination

Upon termination of this Contract, the Client will pay for all Services rendered by the Service Provider up to the termination date. If the Contract is terminated before the end of a service period, the Client will be responsible for a prorated portion of the monthly fee.


IV. Responsibilities of the Parties

A. Client’s Responsibilities

The Client agrees to:

  1. Allow the Service Provider access to the property and landscape for maintenance.

  2. Ensure proper irrigation and prepare the landscape for maintenance.

  3. Inform the Service Provider of any landscape preferences or requirements.

B. Service Provider’s Responsibilities

The Service Provider agrees to:

  1. Provide services professionally and promptly per industry standards.

  2. Provide all labor, materials, and equipment required to perform the Services.

  3. Notify the Client of any issues or concerns related to the landscape maintenance.

  4. Maintain appropriate insurance coverage for the performance of the Services.


V. Confidentiality

Both Parties agree to maintain the confidentiality of any proprietary information shared during the course of this Contract. Neither Party will disclose such information to any third party without the prior written consent of the other Party, unless required by law.


VI. Insurance

The Service Provider shall maintain adequate general liability and workers’ compensation insurance throughout the term of this Contract. Upon request, the Service Provider will provide the Client with proof of such insurance coverage.


VII. Governing Law

This Contract shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising out of or in connection with this Contract shall be resolved in the courts of New Jersey.


VIII. Dispute Resolution

In the event of any dispute arising out of or relating to this Contract, the Parties agree to resolve such disputes through mediation. If mediation fails, the Parties agree to submit the dispute to binding arbitration in New Jersey.


IX. Indemnification

Each Party agrees to indemnify and hold harmless the other Party, its officers, employees, and agents from any and all claims, damages, or liabilities arising from the negligence or misconduct of the indemnifying Party during the performance of the Services.


X. Miscellaneous

A. Entire Agreement

This Contract constitutes the entire agreement between the Parties and supersedes all prior and contemporaneous agreements, representations, or understandings, whether written or oral, concerning the subject matter of this Contract.

B. Amendment

Any amendments to this Contract must be made in writing and signed by both Parties.

C. Severability

If any provision of this Contract is determined to be invalid or unenforceable by a court of competent jurisdiction, the remainder of this Contract will continue in full force and effect.
