1. Purpose of the Agreement

2. Confidential Information

3. Obligations of the Employee

Return or destroy all tangible materials embodying the Confidential Information upon termination of employment or at the request of The Company.
4. Exceptions to Confidential Information
The obligations set forth herein shall not apply to any information that:
Is already publicly known at the time of disclosure or subsequently becomes publicly known through no fault of The Employee;
Is lawfully received by The Employee from a third party without a duty of confidentiality;
Is released for disclosure by The Company with its written consent.
5. Penalty Clause
Should The Employee breach any provisions of this Agreement, they agree to compensate The Company for all damages directly or indirectly resulting from such breach. The determination of damages shall be adjudicated by a competent court, and The Employee shall also be responsible for any legal costs, including reasonable attorney's fees, incurred by The Company in enforcing this Agreement.
6. Governing Law
