Real Estate Zoning Compliance Agreement

This Zoning Compliance Agreement ("Agreement") is made as of [Date], by and between [Your Company Name] ("Company"), with a principal place of business located at [Your Company Address], and [Property Owner Name] ("Property Owner"), with a property located at [Property Address] (the "Property").

WHEREAS, the Company is engaged in the business of real estate development and management and requires assurance of zoning compliance for properties within its portfolio; and

WHEREAS, the Property Owner possesses the legal rights and authority over the Property described herein; and

WHEREAS, both parties wish to ensure that the use and development of the Property comply with all applicable zoning laws and regulations.

1. Compliance with Zoning Laws:

The Property Owner hereby represents and warrants that the Property, including all structures and uses thereon, fully complies with all applicable zoning laws, ordinances, regulations, and requirements as of the date of this Agreement.

2. Ongoing Compliance:

The Property Owner agrees to maintain ongoing compliance with all applicable zoning laws, ordinances, regulations, and requirements for the duration of this Agreement. Any future modifications or developments on the Property will be performed in strict adherence to the then-current zoning laws and regulations.

3. Documentation and Proof of Compliance:

Upon request, the Property Owner shall provide the Company with all relevant documents and records proving compliance with applicable zoning laws, including but not limited to permits, certifications, and inspection reports.

4. Notification of Non-Compliance:

The Property Owner agrees to notify the Company immediately upon becoming aware of any potential or actual non-compliance with zoning laws affecting the Property. Such notification shall be in writing and include a detailed description of the non-compliance and the steps being taken to rectify the issue.

5. Remedy of Non-Compliance:

In the event of any non-compliance with applicable zoning laws, the Property Owner agrees to take prompt and appropriate action to remedy such non-compliance at their own expense. The Company shall have the right to review and approve the proposed remedial actions to ensure compliance with zoning laws.

6. Indemnification:

The Property Owner agrees to indemnify and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to any breach of this Agreement or non-compliance with applicable zoning laws.

7. Term and Termination:

This Agreement shall commence on the date hereof and shall continue in full force and effect until terminated by either party upon thirty (30) days' written notice to the other party.

8. Governing Law:
