National Association Of Realtor Bylaws
Article I: Name and Purpose
Section 1: Name
The name of this organization shall be the National Association of Realtors, hereinafter referred to as the "Association."
Section 2: Purpose
The purpose of the Association shall be to unite real estate professionals to advance the real estate profession, promoting the highest ethical standards, and advocating for private property rights.
Article II: Membership
Section 1: Eligibility
Membership in the Association shall be open to individuals who hold a valid real estate license or are otherwise engaged in the real estate profession, subject to the criteria and requirements established by the Board of Directors.
Section 2: Categories
Membership in the Association shall be categorized as follows:

Realtor Members: Individuals actively engaged in the real estate profession.

Affiliate Members: Individuals affiliated with the real estate profession, such as appraisers, property managers, or real estate educators.

Honorary Members: Individuals recognized for their significant contributions to the real estate profession, as determined by the Board of Directors.
Section 3: Rights and Privileges
All members shall have the right to participate in the activities and governance of the Association, subject to the provisions of these bylaws.
Article III: Governance
Section 1: Board of Directors
The affairs of the Association shall be managed by a Board of Directors consisting of elected representatives from the membership.
Section 2: Officers
The officers of the Association shall include a President, President-Elect, Vice President, Treasurer, and Secretary, who shall be elected by the membership by the procedures established by the Board of Directors.
Article IV: Ethics and Professional Standards
Section 1: Code of Ethics
All members shall adhere to the Code of Ethics and Standards of Practice of the National Association of Realtors, as amended from time to time.
Section 2: Enforcement
The Association shall establish procedures for enforcing the Code of Ethics, including the investigation of complaints and the imposition of sanctions for violations thereof.
Article V: Meetings
Section 1: Annual Meeting
The Association shall hold an annual meeting of the membership to conduct business, elect officers, and address other matters as may properly come before the membership.
Section 2: Special Meetings
Special meetings of the membership may be called by the President or by a majority vote of the Board of Directors.
Article VI: Amendments
Section 1: Proposal
These bylaws may be amended by a two-thirds vote of the membership present and voting at any regular or special meeting, provided that notice of the proposed amendment has been given to the membership at least thirty days in advance.
Section 2: Adoption
Any amendment to these bylaws shall become effective immediately upon adoption unless otherwise specified in the amendment.
Article VII: Dissolution
Section 1: Procedure
In the event of dissolution of the Association, any assets remaining after the payment of debts and liabilities shall be distributed to one or more charitable organizations as determined by the Board of Directors.
Section 2: Notice
Notice of any proposed dissolution shall be given to the membership at least sixty days in advance and shall require a two-thirds vote of the membership present and voting for adoption.
Section 3: Dissolution Plan
The Board of Directors shall be responsible for developing a plan for the orderly dissolution of the Association, including the distribution of assets as provided herein.
Article VIII: Adoption
These bylaws shall be adopted upon approval by a majority vote of the membership present and voting at a meeting duly called and held for that purpose.
