Article I: Name and Purpose

Section 1: Name The name of this organization shall be the Photographic Society, hereinafter referred to as "the Society."

Section 2: Purpose The purpose of the Society shall be to provide a platform for individuals interested in photography to convene, share knowledge, improve skills, and promote the art and practice of photography within the community.

Article II: Membership

Section 1: Eligibility Membership in the Society shall be open to all individuals who have an interest in photography and who pay the prescribed membership dues.

Section 2: Rights and Privileges Members shall have the right to participate in all Society activities, including meetings, workshops, and exhibitions. They shall also have the privilege to vote in elections and on matters brought before the membership.

Article III: Governance

Section 1: Officers The Society shall have a President, Vice President, Secretary, Treasurer, and any other officers deemed necessary by the membership. These officers shall be elected by the membership for a term of one year.

Section 2: Duties of Officers The President shall preside over meetings and provide leadership to the Society. The Vice President shall assist the President and assume the duties of the President in their absence. The Secretary shall keep accurate records of Society activities and correspondence. The Treasurer shall manage the Society's funds and financial transactions.

Article IV: Finances

Section 1: Budgeting The Treasurer, in collaboration with the Executive Board, shall develop an annual budget outlining anticipated revenues and expenditures for the fiscal year. This budget shall be presented to the membership for approval at the beginning of each fiscal year.

Section 2: Financial Reporting The Treasurer shall provide regular financial reports to the membership, detailing the Society's income, expenses, and overall financial health. These reports shall be presented at each general meeting and made available to members upon request.

Section 3: Reimbursement Policies Members may be reimbursed for expenses incurred on behalf of the Society, provided such expenses are approved in advance by the Executive Board and are within the budgetary constraints established by the membership.

Article V: Meetings

Section 1: General Meetings General meetings of the Society shall be held monthly, or as otherwise determined by the Executive Board. These meetings shall be open to all members and shall serve as forums for discussion, education, and decision-making.

Section 2: Special Meetings Special meetings may be called by the President or upon written request of at least ten percent of the membership. Notice of special meetings shall be provided to all members at least seven days in advance, along with an agenda specifying the purpose of the meeting.

Article VI: Amendments

Section 1: Proposal Amendments to these Bylaws may be proposed by any member in good standing and shall be submitted in writing to the Executive Board for consideration.

Section 2: Approval Proposed amendments shall be presented to the membership for discussion and vote at a general meeting. Approval of an amendment shall require a two-thirds majority vote of the members present and voting.

Article VII: Dissolution

Section 1: Procedure In the event of dissolution, any remaining assets of the Society shall be distributed to one or more nonprofit organizations with similar purposes, as determined by the Executive Board and approved by the membership.

Section 2: Notice Notice of the proposed dissolution shall be provided to all members at least thirty days in advance of the vote. A two-thirds majority vote of the members present and voting shall be required to approve the dissolution.

Article VIII: Adoption

Section 1: Effective Date These Bylaws shall become effective immediately upon adoption by a two-thirds majority vote of the membership present and voting at a general meeting.

Section 2: Ratification These Bylaws shall be ratified by the signatures of the President and Secretary of the Society.

Section 3: Maintenance These Bylaws shall be maintained by the Secretary and made available to all members upon request. Amendments shall be recorded and incorporated into the official copy of the Bylaws.
