The purpose of this Agreement is to outline the terms and conditions under which the Advertiser and Media Partner will collaborate on advertising campaigns. The campaigns will aim to promote [Your Company Name]'s products or services across the platforms owned or operated by the Media Partner.

3. Advertising Content and Materials

3.2. Approval Process: All content must be approved by the Media Partner prior to publication.
3.3. Delivery Schedule: Content will be delivered to the Media Partner according to the schedule attached hereto as Exhibit A.
4. Advertising Platforms and Channels:
The advertising campaigns will be executed on platforms including but not limited to the following:
4.1. Social Media: Facebook, Instagram, Twitter, LinkedIn, and TikTok.
4.2. Website: Banner ads and sponsored content on [Your Company Website] and [Your Partner Company Name / Second Party Website].
4.3. Television: Prime time slots on select national and regional channels.
4.4. Digital Billboards: Strategically placed in high-traffic areas in major cities.
4.5. Streaming Services: Ad placements on popular streaming platforms.
4.6. Placement and Positioning: Details regarding the placement and positioning of advertisements will be as mutually agreed upon and outlined in Exhibit B.
5. Financial Arrangements:
The Advertiser agrees to pay the Media Partner a fee as outlined in Exhibit C attached hereto. Any in-kind contributions will be detailed in Exhibit D.
6. Performance Tracking and Reporting:
The performance of the advertising campaigns will be measured using the following specific key performance indicators (KPIs):
6.1. Viewership Numbers: Measuring the total number of views or impressions each advertisement receives across all digital platforms. The target is to achieve a minimum of 500,000 impressions per advertisement.
6.2. Engagement Rates: Monitoring interaction rates including likes, shares, comments, and overall engagement on social media posts and digital ads. The goal is to maintain an average engagement rate of at least 5%.
6.3. Click-Through Rates (CTR): The percentage of viewers who clicked on the ads to visit the designated website or landing page. The target CTR is set at 3%.
6.4. Conversion Rates: The ratio of conversions (such as sign-ups, downloads, or purchases) compared to the total number of ad interactions. Aiming for a conversion rate of at least 2%.
6.5. Audience Growth: Measuring the increase in followers or subscribers on the Advertiser’s social media platforms, with a target growth rate of 10% over the campaign period.
6.6. Brand Sentiment Analysis: Assessing public perception and sentiment towards the brand as reflected in social media comments and online discussions. The objective is to achieve a 70% positive sentiment rating.
6.7. Return Advertising Spend (ROAS): Calculating the revenue generated per dollar spent on the advertising campaign. The goal is to achieve a ROAS of at least 4:1.
6.8. Reporting Schedule: The Media Partner will provide performance reports to the Advertiser on a monthly basis.
7. Rights and Licensing:
All intellectual property rights in the advertising content provided by the Advertiser remain with the Advertiser. The Advertiser grants the Media Partner the right to use the advertising content solely for the purpose of this Agreement. Both parties agree to maintain the confidentiality of all non-public information disclosed during the term of this Agreement, including but not limited to, the terms of this Agreement, business strategies, and customer information.
8. Termination and Cancellation:
Either party may terminate this Agreement upon 30 days' written notice if the other party breaches a material term of this Agreement.
Upon termination, all rights and obligations of the parties cease, except for those obligations that, by their nature, are intended to survive termination.
9. Liability and Indemnification:
Neither party shall be liable to the other for any indirect, incidental, consequential, or punitive damages arising out of this Agreement.
Each party agrees to indemnify and hold harmless the other party from any claims, damages, or expenses resulting from the indemnifying party's breach of this Agreement.
10. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of [Your State/Country].
11. Entire Agreement:
