SUBCONTRACT AGREEMENT

THIS SUBCONTRACT AGREEMENT ("Agreement") is made and entered into on this [Date], by and between [Your Name], a corporation duly organized and existing under the laws of [State/Country], with its principal place of business located at [Your Address] (hereinafter referred to as the "Contractor"), and [Subcontractor Name], a corporation likewise duly organized and existing under the laws of [State/Country], with its principal place of business situated at [Subcontractor Address] (hereinafter referred to as the "Subcontractor").

1. PURPOSE

The purpose of this Agreement is to delineate the terms and conditions governing the engagement of the Subcontractor's expertise and services by the Contractor for the execution of a project on behalf of the Contractor's esteemed client or principal (hereinafter referred to as "the Project"). This Agreement serves to delegate tasks from the Contractor to the Subcontractor, establish risk management and confidentiality parameters, provide legal protections, and ensure clarity and transparency in the relationship.

2. SCOPE OF WORK

Subject to the terms and conditions set forth herein, the Contractor hereby engages the Subcontractor, and the Subcontractor agrees to render services in connection with the Project, as further delineated in a mutually agreed-upon Statement of Work (“SOW”). The Subcontractor shall deliver high-quality work in a timely manner, consistent with the standards, timelines, and any other specifications outlined in the SOW.

3. COMPENSATION

In consideration of the services rendered by the Subcontractor, the Contractor shall remunerate the Subcontractor as stipulated in the SOW. The payment terms shall be detailed in the SOW and shall be contingent upon the Subcontractor satisfactorily fulfilling its obligations under this Agreement and the corresponding SOW.

4. TERM AND TERMINATION

This Agreement shall commence upon execution by both parties and shall remain in effect until the completion of the Project unless terminated earlier. Either party reserves the right to terminate this Agreement in the event of a material breach by the other party, provided that the breaching party fails to remedy such breach within thirty (30) days following receipt of written notice.

5. INDEPENDENT CONTRACTOR STATUS

The parties agree that the Subcontractor is an independent contractor and not an employee, partner, or agent of the Contractor. The Subcontractor shall be solely responsible for the payment of all taxes, insurance, and other obligations arising from its services under this Agreement.

6. WARRANTIES

The Subcontractor represents and warrants that it has the necessary expertise, experience, and resources to perform the services under this Agreement in a professional and workmanlike manner. The Subcontractor further warrants that its services will be performed in compliance with all applicable laws, regulations, and industry standards.

7. CONFIDENTIAL INFORMATION

All parties must confidentially keep any proprietary information obtained from each other and use it only for this Agreement. Such information includes proprietary data, trade secrets, business strategies, financial details, technical knowledge, and any other shared information related to this Agreement.

Obligations:

• Each party agrees to maintain all confidential information received from the other party in strict confidence.

• The Receiving Party shall not disclose, disseminate, or otherwise make available any confidential information to any third party without the prior written consent of the Disclosing Party.

• The Receiving Party shall use the confidential information solely for the purpose of fulfilling its obligations under this Agreement.

Exceptions:

• Confidential information does not include information that:

  • is or becomes publicly available through no fault of the Receiving Party,

  • was rightfully in the possession of the Receiving Party prior to its disclosure by the Disclosing Party,

  • is independently developed by the Receiving Party without reference to the confidential information disclosed by the Disclosing Party, or

  • is rightfully obtained by the Receiving Party from a third party without restriction on disclosure.

Protection Measures:

• Each party shall implement reasonable measures to safeguard the confidentiality of the other party's confidential information.

• Such measures may include, but are not limited to, password protection, encryption, restricted access, and non-disclosure agreements with employees or agents.

Survival: The obligations of confidentiality shall survive the termination or expiration of this Agreement for a period of [specify duration] years.

Remedies:

• In the event of a breach of this confidentiality provision, the non-breaching party shall be entitled to seek injunctive relief, as well as any other remedies available at law or in equity.

Return or Destruction: Upon termination or expiration of this Agreement, or upon the request of the Disclosing Party, the Receiving Party shall promptly return or destroy all confidential information and any copies thereof in its possession or control.

Notice: Each party shall notify the other promptly upon discovery of any unauthorized use or disclosure of confidential information.

8. INDEMNIFICATION

The Subcontractor agrees to indemnify, defend, and hold harmless the Contractor from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising out of or resulting from the Subcontractor's performance or breach of this Agreement.

This Subcontract Agreement constitutes the entire agreement between the parties hereto concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written, pertaining thereto.
