IT Service Agreement

This IT Service Agreement ("Agreement") is entered into as of [Date], by and between [Your Name], a company organized and existing under the laws of [State/Country], with its principal place of business located at [Your Company Name], hereinafter referred to as the "Service Provider", and [Client's Name], a company organized and existing under the laws of [State/Country], with its principal place of business located at [Client's Address], hereinafter referred to as the "Client".

1. Scope of Services

1.1 The Service Provider commits to delivering a comprehensive range of IT services, as outlined in the agreement, to the Client. These services encompass a variety of technical support and solutions tailored to meet the specific needs and objectives of the Client's operations. Through this agreement, the Service Provider undertakes to ensure the seamless provision of IT services, fostering efficiency and reliability in the Client's technological infrastructure. The Service Provider agrees to provide the following IT services ("Services") to the Client:

  • Network Monitoring: Continuous monitoring of the Client's network infrastructure for performance, security, and reliability.

  • Software Development: Design, development, and maintenance of custom software solutions tailored to the Client's specific business needs.

  • Cybersecurity: Implementation of robust cybersecurity measures including threat detection, vulnerability assessments, and incident response protocols.

2. Service Levels

2.1 The Service Provider is obligated to adhere to predefined service levels established for the provision of the Services. These service levels delineate the quality and efficiency benchmarks that the Service Provider must meet to ensure satisfactory performance. By maintaining compliance with these service levels, the Service Provider aims to uphold a standard of excellence in delivering the Services, thereby fostering trust and satisfaction with the Client. The Service Provider shall meet the following service levels for the Services:

  • Uptime Percentage: The Service Provider shall maintain a minimum uptime percentage of 99.9% for the Client's network and systems.

  • Response Time: The Service Provider shall respond to critical issues within 1 hour of notification during standard business hours (Monday to Friday, 9:00 AM to 5:00 PM local time).

  • Resolution Time: The Service Provider shall strive to resolve critical issues within 4 hours of acknowledgment during standard business hours.

3. Responsibilities of the Service Provider

3.1 The obligation to provide the services outlined in this agreement rests squarely on the shoulders of either a designated individual or a particular company. Whichever party it becomes, will be held accountable to the stipulations of this agreement due to its mandatory provisions and the expressed responsibilities, to which they must duly adhere or comply, under the terms and conditions set forth within this contractual agreement.

  • Provide the Services in a professional and workmanlike manner

  • Allocate adequate resources to perform the Services

  • Comply with all applicable laws and regulations

  • Maintain confidentiality of client information

4. Responsibilities of the Client

4.1 The assumption, and the duty also, fall distinctly within the area of control of the individual or establishment that has been singled out and acknowledged as the client. This emerges as their fundamental obligation and responsibility to:

  • Cooperate with the Service Provider and provide necessary access to systems and data

  • Provide accurate and timely information to the Service Provider

  • Abide by the terms and conditions of this Agreement

  • Pay the fees for the Services as outlined in Section 5

5. Fees and Payment

5.1 Taking into consideration the provision of services delineated in this agreement, both parties have come to a mutual agreement wherein the Client has the responsibility to make payment for the following specified fees. This payment is to be directed to the Service Provider. This fee is viewed as the recompense or compensation for the services that were offered, provided, and rendered by the Service Provider as per the terms and conditions of this agreement.

  • Fee Structure: The Client shall pay the Service Provider an hourly rate of $500 for network monitoring and software development services. Cybersecurity services shall be billed at a monthly retainer of $15,000.

  • Payment Terms: Payments for hourly services shall be due upon receipt of the invoice. Monthly retainers for cybersecurity services shall be invoiced on the first day of each month and payment shall be due within 30 days of the invoice date.

6. Term and Termination

6.1 This Agreement will start taking effect starting from the outlined [Start Date]. From this date forward, this Agreement will remain effective and valid until such a time when one of the parties decides to terminate it. If either of the parties decides to bring this Agreement to an end, they are required to communicate their intention in writing to the other party, giving a notice period of 30 days before the termination becomes effective.

6.2 In the event of a material breach committed by one party, the second party has full entitlement and authority to bring this Agreement to an immediate termination. In such circumstances, the non-breaching party is exempt from any obligation to tolerate or bear any waiting period, probably expected for remedial actions or any undue delay that may arise, before they are allowed to cease the agreement.

7. Confidentiality

7.1 Both parties involved have come to a mutual agreement that they will diligently maintain the confidentiality of all confidential information. This refers specifically to the sensitive details that are disclosed while either party is in the process of providing or receiving the Services. A stringent adherence to confidentiality is agreed upon concerning these exchanges.

8. Governing Law

8.1 This Agreement shall be governed by and construed under the laws of [State/Country].
