Nominee Agreement
This Agreement made and entered into this [Date] (the "Effective Date") by and between [Your Name], herein referred to as the "Beneficial Owner", and [Nominee's Name], herein referred to as the "Nominee" (collectively referred to as the "Parties").
1. PURPOSE
The purpose of this Agreement is to specify the roles, responsibilities, and rights of the Nominee and the structure for holding, commingling, and protecting the beneficial owner's assets. In alignment with the intricate nature of asset management, this Agreement aims to ensure the confidentiality of the Beneficial Owner's identity, while establishing clear guidelines for the Nominee's duties and privileges.
2. APPOINTMENT OF NOMINEE
The Beneficial Owner hereby appoints the Nominee as its representative to hold legal title to certain assets. The Nominee accepts this appointment and affirms to exercise the rights and powers granted by this Agreement with the highest standard of care and diligence.
3. ASSET PROTECTION AND CONFIDENTIALITY
Recognizing the sensitive nature of the assets entrusted, the Nominee shall hold and safeguard all assets and proprietary information of the Beneficial Owner, employing robust security measures and exercising utmost confidentiality in all dealings.
4. PROXY VOTING
In instances requiring representation, the Nominee is authorized to vote on behalf of the Beneficial Owner and to eloquently represent the Beneficial Owner's interests at any meetings of shareholders or other equivalent proceedings.
5. COMPLIANCE WITH LAWS & REGULATIONS
The Parties hereby commit to strict adherence to all applicable laws and regulations. The Nominee, as the custodian of assets, pledges to conduct its responsibilities in absolute compliance with regulatory requirements, ensuring the integrity and legality of all transactions and actions undertaken.
6. INDEMNIFICATION
In recognition of the Nominee's fiduciary role, the Beneficial Owner agrees to indemnify and hold the Nominee harmless from and against all claims, damages, and losses arising out of the proper performance of the Nominee's duties under this Agreement, unless caused by the Nominee’s negligence or willful misconduct.
7. TERMINATION
This Agreement can be terminated by either party upon giving thirty (30) days written notice to the other party. Upon termination, the Nominee shall diligently transfer all assets under its control to the Beneficial Owner or another nominee appointed by the Beneficial Owner, ensuring a seamless transition of responsibilities.
8. GOVERNING LAW
