Client Service Agreement

This Client Service Agreement ("Agreement") is entered into by and between the Service Provider (hereinafter referred to as "Service Provider") and the Client (hereinafter referred to as "Client"), collectively referred to as the "Parties".

1. SCOPE OF SERVICE

The Service Provider agrees to provide services to the Client as detailed in this agreement. The scope of these services will be defined by the Parties and may include, but is not limited to:

  • Development and implementation of a digital marketing strategy

  • Social media management

  • Content creation and distribution

  • Monthly analytics reporting

The agreed-upon service terms will be adhered to strictly by both Parties and deviation from the agreed scope will require renegotiation of the agreement.

2. PAYMENT TERMS

The Client agrees to provide compensation to the Service Provider for the services rendered by them, with the rate of payment being previously agreed upon by both parties involved.

Depending on the nature of the service provided, this rate of compensation might be determined on an hourly basis, it could be assessed on a project-by-project basis, or it might be set within the context of a retainer agreement.

Upon the Service Provider issuing an invoice to the Client, the Client is expected to make due payment promptly. If the Client fails to pay the invoice by its due date, a late payment fee will be imposed. This fee will amount to 5% of the total invoice charge.

3. ROLES AND RESPONSIBILITIES

As part of the agreement, it is mandated that both parties involved must take on responsibilities that will guarantee the successful execution and completion of the services.

The role of the Service Provider within this agreement is a crucial one. They shoulder the responsibility of not only delivering the services but also ensuring that the delivery occurs promptly without any undue delays.

Furthermore, the services delivered have to align with the specifications that have been previously agreed upon.

The Client is vested with the responsibility of providing the Service Provider with all the necessary information that would enhance the delivery of the service. Besides this, the Client must also make available all the resources required by the Service Provider to facilitate the successful delivery of the service.

4. CONFIDENTIALITY AND NON-DISCLOSURE

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during this Agreement. This includes but is not limited to:

  • The client's customer data

  • Service Provider's marketing strategies

  • Duration of confidentiality obligations: Indefinite

5. DISPUTE RESOLUTION

In the event of a dispute arising under or relating to this Agreement, the Parties agree to engage in good faith discussions to resolve such dispute. If the dispute cannot be resolved through discussions, the Parties agree to resolve the dispute through legally recognized arbitration procedures.

6. TERMINATION

The Agreement may be terminated by either Party if any of the terms and conditions contained herein are breached. The Party intending to terminate the Agreement shall notify the other Party in writing no less than 30 days before the intended termination date.
