CONSULTATION AGREEMENT

PURPOSE:

The purpose of this agreement is to establish the terms and conditions under which the Consultant will provide professional consulting services to the Client, pertaining to "Business Strategy Development." This may include but is not limited to strategic planning, market analysis, competitive intelligence, identification of growth opportunities, and development of actionable strategies to enhance the Client's competitive position and achieve its business objectives.

SCOPE OF SERVICES:

The Consultant agrees to provide consulting services as described in this Agreement. The specific duties, responsibilities, and deliverables will be outlined in a separate Scope of Work document ("SOW"), mutually agreed upon by the Consultant and the Client. The SOW shall include, but not be limited to, the following:

  • Description of Services

  • Deliverables

  • Milestones and Timelines

  • Resource Allocation

  • Client Responsibilities

  • Acceptance Criteria

PAYMENT:

In consideration for the services rendered by the Consultant as required by this Agreement, the Client shall compensate the Consultant on a time-and-materials basis at the rates specified in this Agreement or as agreed upon in writing between the parties. CONFIDENTIALITY:

DISPUTE RESOLUTION:

The prevailing party shall be entitled to recover reasonable attorney fees and costs incurred in resolving the dispute.

RISK MITIGATION:

This Agreement includes provisions related to intellectual property rights, liability, termination, indemnification, insurance, and other relevant matters aimed at minimizing operational and financial risks for both parties.

TERMINATION:

Either party may terminate this Agreement upon written notice to the other party in the event of a material breach of the terms and conditions contained herein, subject to any applicable cure periods. Upon termination, the Consultant shall be entitled to compensation for services rendered up to the date of termination and for any reasonable expenses incurred in connection with the termination.

Furthermore, they will ensure their activities are in accordance with all relevant and applicable laws, regulations, and statutes, fulfilling their obligations in a legal and ethical manner.
