NAME IMAGE LIKENESS CONTRACT

This Name Image Likeness Contract ("Contract") is made and entered into on [Date], by and between [Talent's Name], residing at [Talent's Address] ("Talent"), and [Your Company Name], a [Legal Entity Type] organized and existing under the laws of [Jurisdiction], with its principal place of business located at [Your Company Address] ("Company").

1. Grant of Rights

1.1 The Talent hereby grants to the Company the exclusive right to use, reproduce, distribute, display, and exploit the Talent's name, image, likeness, voice, signature, and any other personal attributes (collectively referred to as the "Persona") for the purposes set forth herein.

1.2 The Company may utilize the Talent's Persona in connection with the following:

Endorsements of products, services, or brands: The Talent's image and likeness may be used to promote and endorse specific products, services, or brands through various marketing channels such as advertisements, social media posts, and promotional materials.
Sponsorship agreements: The Talent's Persona may be associated with sponsorships and partnerships with companies, organizations, or events, where the Talent acts as a representative or ambassador for the sponsor.
Merchandising and product licensing: The Talent's name, image, and likeness may be used on merchandise and licensed products, such as clothing, accessories, and other consumer goods, for commercial sale.
Media productions, including films, television shows, commercials, and digital content: The Talent may be featured in various forms of media content, including films, television programs, commercials, and digital videos, where the Talent's Persona contributes to the creative or promotional aspects of the content.
Public appearances, events, and promotional activities: The Talent may make appearances at public events, such as conventions, trade shows, or promotional campaigns, where the Talent's presence serves to promote and enhance the visibility of the Company's interests and initiatives.

2. Compensation

2.1 In exchange for the rights that have been granted within the stipulations of this document, it is the obligation of the company in question to pay the party designated as the 'Talent', a fee for their services. This fee has been established to be in the amount of 10,000 United States Dollars. The structure for this payment has been determined to be in two equal installments. Upon the formal signing and acceptance of this contractual agreement by both parties, the company shall be required to provide the Talent with the initial 50% of the whole fee, which is equal to 5,000 United States Dollars. After the project, laid out within this contract, has been fully completed, the remaining 50% of the fee, also equal to 5,000 United States Dollars, shall be owed and payable to the Talent.

2.2 In the instance that the Persona of the Talent is utilized beyond the limitations and parameters delineated within the confines of this contract, the Talent is thus eligible for supplementary remuneration. This additional compensation is not determined in strict terms but it will instead be determined by a negotiation process which will require consensus and agreement drawn from both participating parties.

3. Term and Termination

3.1 The term of this Contract shall commence on [Start Date] and continue in effect until [End Date] unless terminated earlier per the provisions herein.

3.2 Either party may terminate this Contract upon written notice to the other party in the event of a material breach of the terms and conditions herein, subject to any applicable notice periods.

4. Representations and Warranties

4.1 The individual or entity, herein referred to as 'The Talent', provides their declaration and assurance that they fully possess the right, power, and authority to consent and participate in this Contract. In granting the rights within this agreement, The Talent confirms that they don't need to procure the approval or consent of any third party. They affirm their independent ability to bind themselves to the terms and conditions contained within the Contract.

4.2 The Company hereby represents and warrants, providing a guarantee, that it has the necessary resources, holds the requisite expertise, and is the rightful holder of all permissions to exploit the Persona of the Talent. This will be done by the conditions and stipulations outlined in this Contract to which both parties have agreed.

5. Confidentiality

5.1 The parties involved have reached an agreement through which they commit themselves to uphold and preserve the secrecy and confidentiality of any proprietary information or trade secrets that may be exposed, disclosed, or come to light in the course of their engagement governed by the agreed terms and conditions under this Contract.

6. Governing Law

6.1 The guidelines and rules that will govern and interpret this Contract shall be exclusively according to and under the authority of the laws established within the stated jurisdiction.
