Artist Manager Contract

This Artist Manager Contract ("The Contract") is made and entered into as of [Date], by and between [YOUR NAME], hereinafter referred to as ("Artist") and [Manager's Name], hereinafter referred to as ("Manager").

1. Engagement

1.1 Services:

The artist hereby engages the Manager to act as their exclusive manager in all matters relating to the Artist's professional career in the music industry, and the Manager accepts such engagement.

1.2 Duties:

The manager agrees to diligently promote, represent, and advance the Artist's career to the best of the Manager's abilities, including but not limited to booking performances, negotiating contracts, securing endorsements, and providing

career guidance.

1.3 Exclusivity:

During the term of this Contract, the Artist shall exclusively retain the Manager's services for all matters relating to the Artist's professional career within the music industry.

2. Term

2.1 Commencement:

This Contract shall commence on April 1, 2050, and shall continue for three (3) years ("Initial Term").

2.2 Renewal:

Upon the expiration of the Initial Term, this Contract shall automatically renew for successive periods of one (1) year ("Renewal Term(s)") unless terminated earlier by either party by the provisions herein.

3. Compensation

3.1 Commission:

In consideration for the Manager's services hereunder, the Artist agrees to pay the Manager a commission equal to 15% of all gross earnings derived by the Artist during the Term from engagements secured by the Manager.

3.2 Expenses:

The manager shall be responsible for all reasonable expenses incurred in connection with the performance of the Manager's duties hereunder, subject to the Artist's prior approval.

3.3 Payment:

Commission payments shall be made within thirty (30) days following receipt of earnings by the Artist.

4. Termination

4.1 Termination for Cause:

Either party may terminate this Contract upon written notice to the other party in the event of a material breach of any provision hereof by the other party, provided such breach remains uncured for thirty (30) days following written notice thereof.

4.2 Termination Without Cause:

Either party may terminate this Contract without cause upon sixty (60) days prior written notice to the other party.

4.3 Effect of Termination:

Upon termination of this Contract, the Artist shall pay the Manager any outstanding commissions due and owing through the effective date of termination.

5. Confidentiality

5.1 Definition:

For this Contract, "Confidential Information" shall mean any information disclosed by the Artist to the Manager that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information may include but is not limited to, financial information, business plans, strategies, trade secrets, and any information related to the Artist's career or personal life.

5.2 Obligations:

During the term of this Contract and thereafter, the Manager shall hold in strict confidence and not disclose to any third party any Confidential Information of the Artist, except as expressly permitted in writing by the Artist.

5.3 Exceptions:

The obligations of confidentiality set forth herein shall not apply to any information that: (a) is or becomes publicly available through no fault of Manager; (b) was rightfully in the possession of Manager before disclosure by Artist; (c) is rightfully obtained by Manager from a third party without breach of any confidentiality obligation; or (d) is independently developed by Manager without reference to or use of Artist's Confidential Information.

6. Representations and Warranties

6.1 Artist's Representation:

The artist represents and warrants that they have full right, power, and authority to enter into this Contract and to grant the rights granted herein.

6.2 Manager's Representation:

The manager represents and warrants that they have the experience and expertise necessary to perform their duties hereunder.

7. Miscellaneous

7.1 Governing Law:

This Contract shall be governed by and construed by the laws of the State of California.

7.2 Entire Agreement:

This Contract constitutes the entire understanding and agreement between the parties hereto concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
