HVAC MAINTENANCE AGREEMENT

1. PURPOSE

The purpose of this Agreement is to formalize the arrangement between the Client and the Service Provider for the provision of regular maintenance services on the Client's heating, ventilation, and air conditioning ("HVAC") systems. These services are aimed at ensuring optimal functionality and performance consistent with industry standards.

2. SCOPE OF SERVICES

The Service Provider hereby makes a commitment to execute comprehensive maintenance services in relation to the HVAC (Heating, Ventilation, and Air Conditioning) mechanism. This will encompass several types of procedures, of which system inspection is one. In addition, this also includes various methods of cleaning, specific testing procedures related to the HVAC system, and all sorts of adjustments that are significant for the HVAC system to function at its optimal capacity. Such procedures are not limited to the aforementioned duties and could include other tasks as and when the need arises.

These services offered by the Service Provider shall comply in an unwavering manner with the set of instructions laid down by the original manufacturer of the HVAC systems. Furthermore, these services will also conform to the benchmarks and standards that are current and relevant in the industry that deals with HVAC systems.

3. FREQUENCY AND DURATION

3.1 The Service Provider shall provide routine maintenance services on a [Insert Frequency] basis, commencing from the Effective Date of this Agreement and continuing for a period of [Duration], unless otherwise terminated in accordance with the provisions of this Agreement.

4. COST AND PAYMENT

For the services carried out as stated in this Agreement, the Client has agreed to compensate the Service Provider by paying them a certain sum of [Amount] for each visit made for maintenance purposes. Immediately following the provision of an invoice by the Service Provider, which will occur after each service visit has been completed, the payment, due from the Client, shall be remitted.

5. PARTIES INVOLVED

This Agreement is entered into by and between the Service Provider and the Client. The Service Provider, identified above, is the entity specializing in HVAC maintenance services, while the Client, also identified above, is the owner or operator of the HVAC systems in need of maintenance.

6. INSURANCE AND INDEMNIFICATION

6.1 Insurance: The Service Provider shall maintain adequate insurance coverage, including but not limited to general liability insurance, to protect against any claims arising out of the provision of maintenance services under this Agreement.

6.2 Indemnification: The Client agrees to indemnify, defend, and hold harmless the Service Provider from and against any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising out of or resulting from the Client's negligence, misuse of equipment, or failure to comply with the terms of this Agreement.

7. LIABILITY LIMITATION

In no event shall either party be liable to the other for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with this Agreement, including but not limited to lost profits, loss of data, or interruption of business, even if advised of the possibility of such damages.

8. FORCE MAJEURE

Neither party shall be liable for any failure or delay in performing its obligations under this Agreement to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, lockouts, acts of war, terrorism, or government actions.

9. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of performing services under this Agreement. This includes but is not limited to technical data, trade secrets, and business strategies.

10. TERMINATION

Either party may terminate this Agreement by providing written notice of [Days] days to the other party. In the event of termination, any payments due for services rendered up to the termination date shall be payable by the Client.
