On April 10, 2050, this Non-Solicitation Agreement ("Agreement") is agreed upon by [Your Company Name], whose main office is located at [Your Company Address] ("Company"), and [Employee's Name], a person who lives at [Employee's Address] ("Employee").

1. Purpose
The purpose of this Agreement is to establish terms and conditions under which Employee agrees not to solicit clients, customers, or co-workers of Company following the termination of Employee's employment with Company.
2. Non-Solicitation Covenant
During the term of Employee's employment with Company and for two (2) years after the termination of such employment, whether voluntary or involuntary, with or without cause (the "Restricted Period"), Employee agrees that:

The employee will not directly or indirectly solicit, induce, or attempt to induce any client, customer, or business partner of the Company to terminate or diminish its relationship with the Company.

Employee will not directly or indirectly solicit, induce, or attempt to induce any employee or contractor of Company to leave their employment or engagement with Company.
3. Definitions
For this Agreement:

"Solicit" means to request, encourage, or attempt to influence someone to take a particular action, including but not limited to, purchasing goods or services, entering into agreements, or terminating existing agreements.

"Client" means any individual, company, or entity that has engaged in business with the Company or has been solicited by the Company for potential business.

"Employee" refers to any individual who is currently employed by the Company, including full-time, part-time, temporary, and contract employees.
4. No Conflict with Other Agreements
Employee represents and warrants that the execution and delivery of this Agreement and the performance of Employee's obligations hereunder do not and will not conflict with or breach any other agreement or obligation to which Employee is bound, whether written or oral.
5. Governing Law
This Agreement shall be governed by and construed by the laws of the State of [State], without regard to its conflicts of law principles.
6. Entire Agreement
This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
