FASHION STYLIST CONTRACT

This Fashion Stylist Services Contract (the “Contract”), effective as of [DATE] (the “Effective Date”), is entered into by and between [Your Name] (hereinafter the “Stylist”), and [CLIENT'S NAME] (hereinafter the "Client").

1. Services and Deliverables

1.1 Description of Services

These Services encompass a wide range of activities tailored to meet the client's specific needs and preferences. The Services include:

Wardrobe Selection: The Stylist will curate outfits suitable for various occasions, including but not limited to photo shoots, red-carpet events, or personal styling sessions. Each ensemble will be carefully chosen to align with the client's style, personality, and the event's theme or purpose.
Styling Consultations: Before any wardrobe selection or outfit coordination, the Stylist will conduct detailed consultations with the client. These consultations aim to understand the client's fashion preferences, body type, lifestyle, and desired image. By gaining insight into the client's style aspirations and goals, the Stylist can tailor their services effectively.
Outfit Coordination: Building upon the insights gathered during the styling consultations, the Stylist will expertly coordinate outfits to create cohesive and visually appealing looks. This includes selecting garments, accessories, and footwear that complement each other and reflect the client's unique fashion identity.
Fashion Advice: The Stylist will provide informed and up-to-date fashion advice on trends, colors, patterns, accessories, and overall style guidance. This advice is designed to empower the client to make confident fashion choices and stay ahead in the ever-evolving world of fashion.

The Stylist is committed to executing these Services with professionalism, leveraging their expertise, industry knowledge, and creative vision to meet or exceed industry standards and exceed the client's expectations.

1.2 Deliverables

The Deliverables associated with each Service shall be detailed in the aforementioned attachment or document reference. These Deliverables will include specific tasks, timelines, and quality expectations to ensure the successful completion of each aspect of the Services.

Additionally, the Stylist agrees to provide ongoing support and communication throughout the project or engagement to address any client concerns, make adjustments as needed, and ensure a satisfactory outcome.

2. Compensation

2.1 Payment Terms

In consideration for the Services provided by the Stylist, the Client, [CLIENT'S NAME], agrees to compensate the Stylist with a sum of [AMOUNT] as specified in the attached payment schedule (the “Payment Terms”). The payment terms may include:

An initial deposit to secure the Stylist's services.

2.2 Additional Expenses

3. Intellectual Property

3.1 Ownership of Works

The Stylist retains all intellectual property rights in any works created or produced in connection with the Services, including but not limited to stylistic concepts, designs, sketches, and creative materials (the “Stylist’s Works”). These Works are the culmination of the Stylist's skill, creativity, and professional expertise.

3.2 Usage Rights

While the Stylist maintains ownership of the Stylist’s Works, the Client is granted a limited, non-exclusive license to use these Works solely for the purposes outlined in this Agreement. This includes the right to display, publish, and promote the Stylist’s Works in connection with the project or engagement.

The Client agrees not to reproduce, modify, or distribute the Stylist’s Works without the Stylist's prior written consent, except as expressly permitted under this Agreement.

4. Confidentiality

4.1 Non-Disclosure Agreement

Both parties recognize the importance of maintaining confidentiality regarding proprietary or sensitive information shared during the Services (the “Confidential Information”). This includes, but is not limited to:

Client's personal style preferences, including likes and dislikes.
Body measurements and fitting details.
Upcoming events or projects that require discretion.
Financial information related to the project budget and expenses.

4.2 Obligations

The Stylist agrees not to disclose the Client’s Confidential Information to any third party without the prior written consent of the Client, except as required by law. Similarly, the Client agrees to keep any proprietary information shared by the Stylist confidential and not to disclose it without the Stylist's consent.

Both parties will take reasonable measures to safeguard Confidential Information, including digital security practices, restricted access, and confidentiality agreements with relevant team members or affiliates.

5. Dispute Resolution

5.1 Negotiation and Mediation

In the event of any dispute or disagreement arising under this Agreement, the parties agree to first attempt to resolve the matter amicably through good-faith negotiations. If initial negotiations are unsuccessful, the parties may opt for mediation with a neutral third party to facilitate resolution.

5.2 Arbitration

If mediation does not lead to a resolution, both parties agree to submit to binding arbitration under the rules and procedures of [ARBITRATION BODY], located in [ARBITRATION LOCATION]. The decision of the arbitrator(s) shall be final and binding on both parties.
