This Influencer Agreement Compliance Advertising Addendum ("Addendum") is entered into as of [Date], by [Your Company Name], hereinafter referred to as the "Brand," and [Name], hereinafter referred to as the "Influencer." I. Compliance with Laws and Regulations

A. Overview

  1. The Influencer shall comply with all federal and state laws and industry-specific regulations applicable to advertising and marketing activities.

  2. The Influencer agrees to adhere to truth-in-advertising standards and refrain from making false or misleading claims.

B. Compliance with Social Media Platform Policies

  1. The Influencer shall conform to the guidelines and policies of the social media platforms used for promotional activities.

  2. Adequate disclosures, such as the use of [#ad or #sponsored], shall be included in sponsored content.

II. Advertising Content Guidelines

A. Clear Disclosure of Sponsored Content:

  1. The Influencer agrees to use appropriate disclosure hashtags prominently and visibly in all sponsored content.

  2. Placement and visibility of disclosures shall align with platform-specific guidelines.

B. Product/Service Representation:

  1. The Influencer shall provide accurate descriptions of the promoted products/services.

  2. Unsubstantiated claims shall be avoided.

C. Cultural Sensitivity and Respectful Content:

  1. The Influencer shall refrain from creating content that may be deemed offensive.

  2. Consideration of cultural differences is paramount.

D. Intellectual Property:

  1. The Influencer agrees to respect third-party intellectual property rights.

  2. Usage of brand-approved materials is permitted.

III. Review and Approval Process

A. Submission of Draft Content:

  1. The Influencer shall submit draft content within five (5) days.

  2. Draft content shall include all necessary elements such as caption, images, and videos of the Brand’s products.

B. Brand Approval Process:

  1. The Brand reserves the right to review and request revisions to the submitted content.

  2. Timely communication regarding approval or disapproval shall be maintained.

IV. Compensation and Deliverables

A. Compensation Structure:

  1. Compensation terms are outlined in the Influencer Agreement.

  2. Additional compensation may be provided for extra deliverables beyond the agreed scope.

B. Deliverables:

  1. Deliverables include in a form of social media posts and drafted documents in the agreed quantity and format.

V. Confidentiality

  1. The Influencer agrees not to disclose any confidential information received from the Brand.

  2. Confidentiality obligations shall endure for three (3) after the termination of the Agreement.

VI. Termination and Breach

A. Termination Rights:

  1. The Brand reserves the right to terminate the Agreement for reasons outlined in the main Influencer Agreement.

  2. The Influencer may terminate the Agreement within a thirty (30) day written notice.

B. Cure Period for Breach:

  1. In the event of a breach, the non-breaching party shall provide written notice of the breach.

  2. The breaching party shall have fifteen (15) days to remedy the breach.

VII. Governing Law and Dispute Resolution

A. Governing Law:

  1. This Addendum shall be governed by and construed in accordance with the laws of the [State of California].

  2. Any disputes arising under or in connection with this Addendum shall be subject to the exclusive jurisdiction of the courts in the [State of California].

B. Dispute Resolution:

C. Force Majeure:

  1. Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control.

  2. The affected party shall promptly notify the other party of the force majeure event.

D. Waiver of Rights:

  1. The failure to enforce any provision of this Addendum shall not constitute a waiver of any rights under that provision.

  2. A waiver by either party of any breach or default shall not be deemed a waiver of any subsequent breach or default.
