DIGITAL MARKETING AGREEMENT

1. Scope of Services

2. Term

The commencement of this Agreement is set for January 1, 2050, with an initial term spanning two (2) years. Subsequently, upon the expiration of the initial term, the agreement will seamlessly transition into automatic renewal for successive periods of one (1) year, subject to termination by either party with thirty (30) days' prior written notice.

3. Fees

The monthly retainer of $5000 provides a consistent income stream, while the provision for additional project-based fees allows for fair compensation for specific tasks or projects beyond the scope of the retainer. 4. Responsibilities

a. Company Responsibilities

• Provide the Agency with the necessary information and materials for the implementation of marketing campaigns.

• Designate a primary point of contact for communication with the Agency.

b. Agency Responsibilities

• Diligently perform the services outlined in this Agreement.

• Provide regular updates and reports on campaign performance.

• Adhere to agreed-upon timelines and budgets.

5. Intellectual Property

All intellectual property resulting from the services rendered under this Agreement shall unequivocally belong to the Company. This includes any innovations, inventions, or creations developed by the Agency during their service provision. The Company retains full ownership rights over such intellectual property without exception.

6. Confidentiality

Both parties involved in this Agreement have committed to upholding the confidentiality of any proprietary or sensitive information shared throughout its duration. This mutual understanding underscores the importance of protecting sensitive data from unauthorized disclosure or misuse. By adhering to this clause, both parties demonstrate their commitment to maintaining trust and safeguarding valuable intellectual property.

7. Termination

Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within 30 Cure Period days.

8. Limitation of Liability

Under no circumstances shall either party bear responsibility for indirect, consequential, or incidental damages stemming from or linked to this Agreement. This clause safeguards both parties from liabilities beyond the direct scope of the agreement's terms. It ensures a clear delineation of liability boundaries, fostering a more stable and predictable contractual relationship.

9. Governing Law and Jurisdiction:
