This Freelance Service Contract ("Contract") is entered into between [Your Company Name], located at [Your Company Address] ("Client"), and [Freelancer Name], located at [Freelancer Address] ("Freelancer"), collectively referred to as the "Parties," effective as of [Contract Start Date].

1. Scope of Work Overview

1.1 Services

The Freelancer agrees to provide the following services to the Client:

  • Graphic Design: Creation of visual assets, including but not limited to logos, banners, and illustrations.

  • Writing: Composition of written content, such as articles, blog posts, and website copy.

  • Programming: Development of software applications, websites, or other digital solutions.

  • Marketing: Implementation of marketing strategies, including social media management, email campaigns, and SEO optimization.

1.2 Timeline for Completion

The Freelancer shall complete the services outlined above within the agreed-upon timeframe of 60 days, commencing on [Start Date], and concluding no later than [End Date].

1.3 Deliverables

The Freelancer shall deliver all completed work to the Client in the following formats: JPEG, PNG, PDF. Deliverables shall be provided according to the agreed-upon schedule outlined in the Project Timeline.

2. Payment Terms

2.1 Total Compensation

The total compensation for the services rendered under this Contract shall be $5,000, payable in US dollars.

2.2 Payment Schedule

Payment shall be made according to the following schedule:

  • Upfront Payment: 25% ($1,250)

  • Milestone 1: 25% ($1,250)

  • Milestone 2: 25% ($1,250)

  • Final Payment: 25% ($1,250)

2.3 Method of Payment

Payment shall be made via bank transfer to the Freelancer's designated account.

3. Intellectual Property

3.1 Ownership of Work Produced

The Freelancer retains ownership of all work produced under this Contract until full payment has been received from the Client.

3.2 Usage Rights Granted to the Client

Upon receipt of full payment, the Freelancer grants the Client non-exclusive usage rights to the completed work for the purpose outlined in the Scope of Work.

3.3 Confidentiality or Non-Disclosure Agreements

Both Parties agree to maintain the confidentiality of any sensitive information exchanged during this Contract.

4. Revisions and Alterations

4.1 Process for Requesting Revisions or Alterations

The Client may request revisions or alterations to the work within 2 rounds of revisions, provided that such requests are reasonable and within the scope of the original agreement.

4.1 Limitations on the Number of Revisions

The Parties agree to limit the number of revisions to 2 rounds, beyond which additional revisions may incur additional fees.

5. Termination

5.1 Conditions for Termination

Either Party may terminate this Contract upon written notice if the other Party materially breaches any provision of this Contract and fails to remedy such breach within 14 days of receiving written notice thereof.

5.2 Consequences of Termination

In the event of termination, the Client shall compensate the Freelancer for any work completed up to the date of termination, under the Payment Terms outlined in this Contract.

6. Indemnification

Each Party involved in this Contract consents and promises to compensate for any harm or loss caused to the other Party and ensure that they don't bear the blame or endure any harm or loss that could arise from any claims, damages, or liabilities. These liabilities or damages could stem from or be connected to the services provided under this contractual agreement by the Party held responsible.

7. Confidentiality

It is mutually agreed upon by both parties involved in this Contract that they will uphold and respect any proprietary or confidential information that may be disclosed throughout this Contract. This obligation to safeguard such sensitive information shall extend beyond the term of the Contract and persist indefinitely, ensuring the maintained confidentiality of any shared proprietary or confidential information.

8. Governing Law

This Contract shall be governed by and construed under the laws of [Jurisdiction], without regard to its conflict of law provisions.

9. Miscellaneous

9.1 Independent Contractor Status

The individual serving as a Freelancer operates as an independent contractor and, in this role, is responsible for the handling and payment of their respective tax obligations.

9.2 Assignment

Neither the first party nor the second party can assign their respective rights without obtaining written consent.

9.3 Entire Agreement

The contract he has now effectively takes precedence over and supersedes all agreements that have been previously made.

9.4 Notices

Written notices must be created as per the requirement and these notices must be delivered to the addresses that have been previously provided.

9.5 Severability

Provisions that are deemed invalid do not have any impact on or interfere with the legitimacy or validity of other independent provisions.
