1. Parties to the Contract:

This Agreement ("Contract") is entered into on [Date] by and between [Company Name], located at [Address], herein referred to as the "Client," and [Fire Alarm Maintenance Service Provider Name], located at [Address], herein referred to as the "Service Provider."

2. Scope of Services:

The Service Provider agrees to provide fire alarm maintenance services for the Client's premises located at [Address] ("Property"). The scope of services includes, but is not limited to:

  • Regular inspection of fire alarm systems

  • Testing and calibration of fire alarm components

  • Repair and replacement of faulty components

  • Ensuring compliance with local safety regulations and standards

  • Emergency response services in case of system malfunction or alarm activation

  • Documentation and reporting of maintenance activities

3. Service Schedule:

  • It is the responsibility of the Service Provider to conduct and perform regular maintenance services on the fire alarm systems. The scheduling for these aforementioned maintenance services would be prescribed at intervals that have been mutually agreed upon by both the involved parties.

  • If there is any alteration or change needed in the already agreed-upon service schedule, such changes will not be implemented immediately. Instead, the modifications will first be communicated to the other party, and will only be put into effect after a mutual agreement has been reached.

  • Furthermore, to avoid any misunderstandings or conflicts, all agreements about changes to the service schedule will be formally documented in written form instead of relying on verbal assurances.

4. Fees and Payment:

  • The client hereby agrees to make payment to the service provider following the fees previously agreed upon for the rendered maintenance services.

  • The payment cycle for such fees shall be on a monthly, quarterly, or annual basis, depending upon the selection made.

  • Following the generation and receipt of the invoice by the client, the payment has to be made within the stipulated number of days.

5. Term and Termination:

  • The beginning of this Contract's period of validity will be on the [Start Date] specified, and it will initially remain effective for a specified period of [Length of Initial Term].

  • Upon the completion of this initial term, it is stipulated that this Contract will automatically renew itself. The duration of each successive renewal term will be [Length of Renewal Term].

  • Despite this automatic renewal process, either party involved in this Contract has the right to terminate it.

  • However, the termination needs to be expressed through written notice given [Notice Period] before the current term concludes. In this scenario, the term won't be extended further.

  • Either party may terminate this Contract immediately in the event of a material breach by the other party.

6. Liability and Insurance:

  • The Service Provider must obtain and sustain sufficient insurance coverage. This includes general liability insurance that shields from any potential damages or liabilities that could arise during the provision of maintenance services.

  • This is to ensure that any possibilities of damage caused by the Service Provider's negligence or misconduct while providing the service will be covered by their insurance, so any damages incurred from such incidents are not insinuated to be covered by the Client.

  • Therefore, should any damage occur due to the Service Provider’s misconduct or negligence, the Client is under no obligation to take responsibility or be held financially liable in such instances.

7. Confidentiality:

  • Both parties involved in this agreement have reached a mutual consensus to uphold the confidentiality of any sensitive or proprietary information that is shared or disclosed during this transaction or project.

  • They shall make a concerted effort to prevent any unauthorized release or dissemination of such information that would breach the agreement's terms of maintaining confidentiality.

8. Governing Law:

This Contract shall be governed by and construed under the laws of [State/Country]. Any disputes arising under or in connection with this Contract shall be subject to the exclusive jurisdiction of the courts located in [County, State/Country].
