Maintenance Service Contract

1. Parties Involved

This Maintenance Service Contract ("Contract") is entered into on [Date] between [Service Provider Name], located at 3342 Park Avenue Sacramento, CA 95814 ("Service Provider"), and [Client Name], located at 4041 Buck Drive

South Burlington, VT 05403 ("Client"). The Service Provider and the Client shall collectively be referred to as the "Parties" and individually as a "Party."

2. Scope of Services

The Service Provider agrees to provide ongoing support and maintenance services for the following systems and equipment owned by the Client:

The services may include but are not limited to:

  • Regular inspections

  • Preventive maintenance

  • Emergency repairs

  • Technical support

  • Software updates

  • Equipment replacements (if necessary)

3. Service Schedule

The maintenance services shall be performed according to the following schedule:

  • Regular inspections: Quarterly inspections shall be conducted for all listed systems and equipment to ensure optimal functionality and detect any potential issues proactively.

  • Preventive maintenance visits: Bi-monthly preventive maintenance visits will be scheduled to perform routine checks, cleaning, and minor adjustments to prolong the lifespan and efficiency of the systems.

  • Emergency response times: In the event of emergencies or system failures, the Service Provider guarantees a maximum response time of four hours during business hours and six hours after hours or on weekends.

4. Service Fees

  • In consideration for the services provided under this Contract, the Client agrees to pay the Service Provider the sum of [Amount] on a [Monthly] basis.

  • Upon receiving an invoice from the Service Provider, the party responsible for making the payment shall ensure that they complete the payment within the specified number of days.

5. Term and Termination

This Contract shall commence on [Commencement Date] and shall continue for a period of [Term Length] unless terminated earlier by either Party following the provisions of this Contract.

Either Party may terminate this Contract upon [Number] days' written notice to the other Party if:

  • The other Party breaches any material provision of this Contract and fails to remedy such breach within [Number] days of receiving written notice; or

6. Confidentiality

  • All parties involved give their earnest word and solemnly vow to sustain and preserve the enacted rule that revolves around safeguarding and upholding the confidentiality of those particulars classified as confidential or deemed proprietary.

  • This rule particularly pertains to any such data that might be revealed or made known, in one way or another, over the duration and course of this Contract.

7. Governing Law and Dispute Resolution

  • This Contract, in every aspect and dimension, shall be governed, ruled, and interpreted under the stipulations, principles, and legislative guidelines outlined in the laws of the specified [Jurisdiction].

  • If any quarrel, disagreement, or dispute should arise either directly or indirectly from this Contract or any component of it, the issue shall be addressed under the exclusive legal authority of the courts residing in the aforementioned [Jurisdiction].

  • This authority will be solitary and unchallenged in determining the outcome of any such dispute related to this Contract.

8. Entire Agreement

This Contract constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
