NON-FUNGIBLE TOKEN CONTRACT

1. OBJECT OF THE CONTRACT

The Artist agrees to sell, and the Purchaser agrees to purchase, the unique Non-Fungible Token (NFT) titled [Title] created by the Artist. The NFT is a digital artwork stored on the blockchain, with a unique identification and details as follows:

2. DEFINITIONS

2.1 "NFT" shall mean a non-fungible token, a unique digital asset stored on a blockchain.

2.2 "Fee" shall mean the total amount to be paid by the Purchaser to the Artist for the NFT, which is [Fee Amount] [Currency].

2.3 "Effective Date" shall mean the date on which this Contract is signed by both Parties, which is [Effective Date].

2.4 "Blockchain Platform" shall mean the specific blockchain network on which the NFT is created, such as Ethereum, Binance Smart Chain, or others.

2.5 "Title" shall mean the name or title given to the NFT by the Artist, as specified in the Object of the Contract.

2.6 "Description" shall mean a detailed description of the NFT, including its theme, style, and any other relevant details provided by the Artist.

2.7 "Payment Terms" shall mean the specific terms and conditions for payment, including the deadline for payment and any installment options, as agreed upon by the Parties.

2.8 "Payment Method" shall mean the method of payment agreed upon by the Parties, such as wire transfer, cryptocurrency, or other mutually agreed-upon methods.

2.9 "Delivery Method" shall mean the method by which the NFT will be delivered to the Purchaser, such as transfer to a digital wallet or other agreed-upon methods.

2.10 "Fee Amount" shall mean the total amount to be paid by the Purchaser to the Artist for the NFT, as specified in the Object of the Contract.

3. PAYMENT AND DELIVERY

3.1 The Purchaser agrees to pay the Artist the sum of [Fee] within [Payment Terms] after the Effective Date. Payment shall be made via [Payment Method], such as wire transfer or cryptocurrency. The Fee includes any applicable taxes or fees.

3.2 The Purchaser shall bear all transaction fees associated with the payment method chosen. The Artist shall receive the full Fee amount as specified in this Contract.

3.3 Upon receipt of full payment, the Artist shall transfer ownership of the NFT to the Purchaser. Delivery of the NFT shall be made via [Delivery Method], which may include transferring the NFT to the Purchaser's digital wallet or providing access to the NFT on the blockchain platform.

3.4 The Artist shall make reasonable efforts to complete the delivery of the NFT within [Delivery Timeframe] after receiving full payment. However, the actual delivery time may vary depending on the blockchain network's processing time and other factors beyond the Artist's control.

3.5 The Purchaser acknowledges that the NFT is a digital asset and may not be physically delivered. The Purchaser is responsible for ensuring that they have the necessary technical capabilities to receive, store, and manage the NFT.

3.6 The Parties agree that the delivery of the NFT shall be deemed complete upon the Artist's transfer of ownership of the NFT to the Purchaser's digital wallet or other agreed-upon method.

3.7 The Purchaser acknowledges that once the NFT is delivered, the transaction is final, and no refunds or exchanges shall be provided, except as required by law.

4. INTELLECTUAL PROPERTY RIGHTS

4.1 The Artist retains all intellectual property rights associated with the NFT, including copyright, trademark rights, and any other rights recognized under applicable law.

4.2 The Artist grants the Purchaser a non-exclusive, worldwide, royalty-free license to display, use, and possess the NFT for personal, non-commercial purposes. The license does not include the right to reproduce, distribute, or create derivative works of the NFT without the Artist's express permission.

4.3 The Purchaser agrees not to modify, alter, or tamper with the NFT in any way that would infringe upon the Artist's intellectual property rights.

4.4 The Purchaser acknowledges that the NFT may be subject to third-party intellectual property rights, and the Artist makes no warranties regarding the infringement of third-party rights.

4.5 The Artist agrees to indemnify and hold harmless the Purchaser from any claims, damages, or liabilities arising from any third-party claims of infringement related to the NFT, provided that the Purchaser notifies the Artist promptly of any such claims.

4.6 The Purchaser agrees to use the NFT in accordance with applicable laws and regulations, including but not limited to copyright law and the terms of this Contract.

5. REPRESENTATIONS AND WARRANTIES

5.1 Both Parties represent and warrant that they are fully authorized and empowered to enter into this Contract, which is binding upon their execution.

5.2 The Artist represents and warrants that they are the sole creator of the NFT and have full ownership and rights to transfer the NFT to the Purchaser. The Artist further warrants that the NFT does not infringe upon any third-party rights.

5.3 The Purchaser represents and warrants that they have the necessary funds and authority to purchase the NFT and that the payment made under this Contract does not violate any laws or regulations applicable to them.

5.4 The Artist represents and warrants that the NFT is free from any encumbrances, liens, or claims of third parties and that the Artist will defend the Purchaser against any such claims.

5.5 The Purchaser represents and warrants that they will use the NFT in accordance with applicable laws and regulations and will not use the NFT for any illegal or unauthorized purposes.

5.6 The Artist represents and warrants that they will provide the Purchaser with any documentation or information necessary to verify the authenticity and ownership of the NFT.

6. GOVERNING LAW AND VENUE

6.1 This Contract shall be governed by and construed in accordance with the laws of the State of [State]. Any disputes arising under this Contract shall be resolved in accordance with the laws of the State of [State].

6.2 Any legal actions arising from or in connection with this Contract shall be conducted in the courts of the State of [State].
