Music License Contract
This Music License Contract ("Contract") is made and entered into as of [Date], by and between [Licensor's Name], with an address at [Licensor's Address], hereinafter referred to as the "Licensor", and [Licensee's Name], with an address at [Licensee's Address], hereinafter referred to as the "Licensee". The parties agree as follows:
I. Grant of License
1.1 Licensor hereby grants Licensee a non-exclusive, worldwide license to use the musical compositions (the "Licensed Music") composed by [Composer's Name] ("Composer") to incorporate into a film project titled " [Film Title]" (the "Film").
1.2 The licensee acknowledges that this license is non-transferable and may not be sublicensed to any third party without the prior written consent of the Licensor.
II. Specified Purposes
2.1 The licensee shall use the Licensed Music solely for the following purposes:
(a) In the soundtrack of the film titled [Film Title].
(b) In promotional materials related to the film, including trailers and advertisements.
(c) In public performances associated with the promotion or screening of the film.
2.2 The licensee shall not use the Licensed Music for any purposes other than those specified herein without obtaining additional authorization from the Licensor.
III. Consideration
3.1 In consideration for the license granted herein, the Licensee shall pay the Licensor a one-time license fee in the amount of [Amount] (the "License Fee"), payable within 30 days from the Effective Date.

IV. Representations and Warranties
4.1 The Licensor represents and warrants that they are the sole owner of all rights, title, and interest in and to the Music and have the authority to grant the license as set forth herein.
4.2 The Licensor further represents and warrants that the Music is original to the Licensor and does not infringe upon the intellectual property rights of any third party.
4.3 The Licensee represents and warrants that they will only use the Music by the terms of this Contract and will not use it for any unlawful or unauthorized purposes.
V. Term and Termination
5.1 This Contract shall commence on the Effective Date and shall remain in effect for the duration of the production and distribution of the Film within the specified territory unless terminated earlier by the provisions herein.
5.2 Either party may terminate this Contract upon written notice to the other party in the event of a material breach of any provision of this Contract, which remains uncured for 30 days following written notice of such breach.
VI. Intellectual Property Rights
6.1 The Licensor retains all rights, title, and interest in and to the Music, including all copyrights and other intellectual property rights therein.
6.2 The Licensee acknowledges and agrees that nothing herein shall be construed to grant the Licensee any ownership rights in the Music, and all use of the Music shall be subject to the terms of this Contract.
VII. Indemnification
Each party agrees to indemnify, defend, and hold harmless the other party, its affiliates, officers, directors, employees, agents, successors, and assigns from and against all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorney's fees, arising out of or in connection with any breach of this Contract by the indemnifying party.
VIII. Confidentiality
8.1 Both parties agree to keep confidential all terms and conditions of this Contract and any information disclosed to them by the other party in connection with this Contract.
8.2 This confidentiality obligation shall survive the termination of this Contract.
IX. Governing Law and Jurisdiction
9.1 This Contract shall be governed by and construed by the laws of [Jurisdiction], without regard to its conflict of law principles.
9.2 Any dispute arising out of or in connection with this Contract shall be exclusively resolved by the courts located in [Jurisdiction].
X. Entire Agreement
This Contract constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written, relating to such subject matter.
