PPC Management Contract
1. Parties Involved
This PPC Management Contract ("Contract") is entered into between [Client Name], located at 752 Everette Alley Jupiter, FL 33478 ("Client"), and [Digital Marketing Agency Name], located at Lightning Point Drive Covington, TN 38019 ("Agency"), effective as of [Contract Start Date].
2. Scope of Services
2.1 Services: The Agency promises to provide personalized PPC management services as per the Client's needs (detailed in Exhibit A) to enhance their PPC ads' effectiveness and ROI. Services are not limited to those listed.
a. Campaign Creation and Optimization: Developing and refining PPC ads across major platforms, including campaign structuring, ad group creation, precise targeting, and ongoing optimization for better performance.
b. Keyword Research and Selection: Identifying and implementing high-performing keywords related to the client's industry, audience, and goals to optimize campaign reach and precision.
c. Ad Copy Creation and Testing: Creating engaging ads that align with the brand and drive engagement and conversions. Rigorously testing ad variations to maximize click-through and conversion rates.
d. Landing Page Optimization Recommendations: Strategically evaluate and optimize landing pages connected to PPC ads for alignment with ad messaging, improved user experience, and conversion optimization. This may involve recommending layout changes, content upgrades, form improvements, and other strategies to enhance landing page performance.
e. Bid Management and Optimization: Optimizing campaign performance and maximizing return on ad spend by strategically managing bids, budgets, and adjustments. Continuously monitor and adjust bids to seize high-converting opportunities, reduce wasted spend, and attain optimal ad placement in competitive auctions.
f. Monitoring and Reporting on Campaign Performance: The agency will diligently monitor key metrics to evaluate campaign effectiveness, identify improvements, and drive decisions. They will provide detailed reports with useful insights and strategies for refinement. By signing the contract, the agency commits to applying best industry practices and prioritizing the client's PPC advertising goals.
2.2 Exclusions: The following services are expressly excluded from this Contract unless otherwise agreed upon in writing by both Parties:
a. Website Development or Redesign: The Agency's contract doesn't cover website development or redesign, including changes to structure, layout, function, or design. They can, however, suggest landing page improvements for PPC campaigns as per Section 2.1(d).
b. Graphic Design Services: This contract doesn't cover graphic design services like creating custom images for PPC ads or landing pages. The client must supply all required graphics unless a written agreement states otherwise.
c. Content Creation: This contract does not cover creating text or media for PPC ads, landing pages, or other marketing materials such as ad copy, blog posts, articles, videos, or infographics. The client must provide necessary content, guided by the agency's optimization advice as per Section 2.1(c).
3. Term
This Contract shall commence on the effective date mentioned above and shall continue for an initial term of [Initial Term Duration]. After the initial term, this Contract shall automatically renew for successive periods of [Renewal Term Duration] each unless terminated by either Party under the provisions outlined herein.
4. Fees and Payment Terms
4.1 Fees: In consideration for the Services provided under this Contract, the Client agrees to pay the Agency a fee as outlined in Exhibit B attached hereto ("Fees").
4.2 Payment Terms: The Client shall make payments to the Agency within [Number of Days] days of receiving an invoice. Late payments may accrue interest at a rate of [Interest Rate]% per month until paid in full.
5. Client Responsibilities
5.1 Access and Cooperation: The Client shall provide the Agency with access to all necessary accounts, platforms, and materials required to perform the Services. The Client shall also cooperate with the Agency promptly
5.2 Content and Creative: The Client shall provide any necessary content, images, or creative assets required for the PPC campaigns unless otherwise agreed upon in writing.
6. Confidentiality
Both Parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of this Contract and for a period of [Confidentiality Period] thereafter.
7. Termination
Either Party may terminate this Contract upon [Termination Notice Period] written notice to the other Party in the event of a material breach of any provision herein. Termination shall be without prejudice to any rights or obligations accrued before the termination date.
8. Governing Law
This Contract shall be governed by and construed under the laws of [Jurisdiction], without regard to its conflict of law provisions.
