1. Services Provided
1.1 Courier agrees to provide courier services to Client for the transportation and delivery of packages, documents, and goods ("Shipments") from pickup locations specified by Client to delivery locations specified by Client.
1.2 The courier is expected and obliged to utilize reasonable efforts to guarantee that the pickup, transportation, and successful delivery of shipments are done promptly. This process should be completed according to the service levels that have already been agreed upon by the involved parties.
2. Fees and Payment
2.1 Client agrees to pay Courier the fees for courier services as outlined in Schedule A attached hereto. Fees may include charges for pickup, delivery, distance, weight, special handling, and other applicable surcharges.
2.2 The Client is obligated to make the payment to the Courier within 30 days following the date that is indicated on the invoice. The form of payment ought to be in United States Dollars and ought to be transferred electronically to the bank account specifically specified by the Courier for this transaction.
3. Pickup and Delivery
3.1 The client carries the responsibility to ensure that the items being shipped are packaged correctly and neatly. In addition to this, it's the client's responsibility to see to it that the shipments are aptly labeled, making it easier to identify and handle them during the process of shipping. Furthermore, the client must also guarantee that the prepared shipments are ready for pickup promptly at the specific locations that were designated for pickup, as well as the times that were mutually agreed upon for picking up the shipments.
3.2 The courier is obligated and expected to utilize a reasonable amount of effort to ensure that all shipments are delivered to the locations that have been designated for delivery. This is done following a previously agreed-upon delivery timeframe. The aim is for all these actions to be executed in a manner that aligns with the established delivery times that both parties have concurred with.
4. Liability and Insurance
4.1 The Courier will be held responsible in the event of loss or damage of the Shipments attributable to the Courier's neglectful actions or deliberate misconduct. This responsibility shall not exceed the declared value of the Shipment or the limit set by the Courier's liability insurance. However, the lesser amount between these two values will be the maximum the Courier can be held liable for.
4.2 Should the client need more insurance coverage for shipments that go beyond the standard liability limits of the courier, they have the option to purchase extra insurance. This additional purchase, however, will be shouldered entirely by the client and not the courier.
5. Term and Termination
5.1 The initiation of this Contract is set to begin on the date of June 15, 2050, and it is to be maintained active and effective indefinitely unless forcibly concluded by either party involved in this agreement. A termination from either side would require a formal written notice to be submitted to the other party, at least thirty days before the desired date of contract termination.
5.2 If one party commits a material breach, the Contract provides the right for the party who did not commit the breach to take the step of immediately terminating the Contract, affecting both parties involved.
6. Governing Law and Jurisdiction
6.1 This Contract shall be governed by and construed following the laws of [Jurisdiction]. Any disputes arising out of or in connection with this Contract shall be resolved exclusively by the courts of [Jurisdiction].
