This Proofreading Contract (“Contract”), is entered into this [Date] by and between [Proofreader Name] with an office at [Proofreader Address] ("Proofreader") and [Client Name] with an office at [Client Address] ("Client").

1. SCOPE OF WORK

The Proofreader has given their consent to offer professional proofreading services by the details and expectations specified within the project brief or description that both parties have mutually agreed upon. The scope of these services includes making corrections related to grammatical errors, punctuation mistakes, syntax issues, and spelling errors in the text that the Client provides.

2. COMPENSATION

The Client has agreed and is obligated to pay the Proofreader an amount totaling $500 upon the successful completion of the services that have been provided. Following the issuance of an invoice, the client has a timeline of no more than 30 days to fulfill this payment obligation. All these transactions will be conducted, and all amounts are to be paid, in the official currency of the United States, the U.S. Dollar.

3. DEADLINES

The Proofreader has agreed to finalize and bring the assigned project to completion by the designated due date. Should there occur any delay in the completion of the specified project by the agreed due date, the Proofreader is committed to delivering a written explanation outlining the reasons behind such a delay to the Client.

4. CONFIDENTIALITY

The Proofreader hereby pledges to abide by strict confidentiality principles concerning all information that the Client provides. This involves preserving the Client's privacy by refraining from sharing or disclosing any details to any third persons or parties. It should be noted, however, that express permission granted priorly by the Client would serve as an exception to this policy of non-disclosure to third parties.

5. RIGHTS AND OWNERSHIP

5.1 Exclusive Usage Rights

The Client gains the exclusive right to use the completed work for their intended purposes, ensuring that the Proofreader will not provide the same work to any other party.

5.2 Modification Rights

The client can modify the finished work as needed for their project, including making appropriate amendments, and necessary changes, or creating derived works. Their decisions are based on their specific project requirements and needs.

5.3 Distribution Rights

The Client maintains the authority and right to disseminate which includes actions such as distributing and publishing, as well as displaying or sharing in any other manner, the work that has been completed. This action can be performed with any individuals or groups that are relevant stakeholders or audiences whom the client deems appropriate to share the completed work with.

5.4 Copyright Ownership

Once the Clients complete the full payment for the work, the ownership of the copyright of the completed work will be transferred to them. This transfer signifies that the Clients now have legal control over how the completed work is used and distributed.

5.5 Non-Usage by Proofreader

The Proofreader agrees not to use or share the completed work with other clients until full payment has been received from the Client, ensuring exclusivity for the Client.

6. TERMINATION

This Contract is terminable by either party involved, provided that a written notice is presented at least 30 days before the intended termination date. Should this agreement come to a premature end, the responsibility falls on the Client to settle all the outstanding payments for any services that have been provided up until the date of the agreement's termination.

7. INDEMNIFICATION

Both parties have mutually agreed to indemnify each other against any possible legal responsibilities, ensuring no harm, injury, loss or damage befalls the other. This covers any current claims, prospective losses, damages, or liabilities related to a potential breach of the agreement, thereby protecting all possible liabilities arising from such a breach.

8. GOVERNING LAW

The contract is subject to and governed by [State] laws, regardless of any conflicting laws or principles in the jurisdiction where it is enforced or executed. No other legal rules can negate or override [State] laws' supremacy in governing this contract.

9. ENTIRE AGREEMENT

This current contract encapsulates the full agreement between the Proofreader and the Client, including every tiny detail, term, and condition agreed upon by both parties. It supersedes any prior arrangements whether verbal or written, which are now null and void due to this binding contract.
