Memorandum of Understanding Contract
This Memorandum of Understanding (hereinafter referred to as the "MOU") is made and entered into on this March 15, 2059 by and between:
[YOUR COMPANY NAME], with its principal place of business at [YOUR COMPANY ADDRESS], represented herein by [YOUR NAME], CEO, hereinafter referred to as "Party A";
AND
Brenda Boyle, with her principal place of residence at Eugene, OR 97401, hereinafter referred to as "Party B".
Party A and Party B are collectively referred to as the "Parties."
The Parties desire to set forth the terms and conditions under which they will collaborate on Community Outreach and Development Initiative.
I. PURPOSE
The purpose of this MOU is to establish a framework of cooperation and partnership between the Parties for the successful execution of the Community Outreach and Development Initiative. This MOU is non-binding and is intended to express the mutual understanding of the Parties regarding their respective roles and responsibilities.
II. SCOPE OF WORK
The Parties agree to undertake the following responsibilities:
A. Responsibilities of Party A:

Provide funding and logistical support for community development projects.

Organize monthly progress meetings to evaluate project milestones.
B. Responsibilities of Party B:

Act as the local coordinator for project implementation in Eugene, OR.

Engage with community members and stakeholders to ensure participation and feedback.
III. TERM AND TERMINATION
This MOU shall commence on April 1, 2059 and shall remain in effect until March 31, 2061, unless extended or terminated by mutual written agreement of the Parties. Either Party may terminate this MOU with 30 days written notice to the other Party.
IV. FINANCIAL TERMS
This MOU does not create any financial obligation between the Parties unless explicitly stated in a subsequent binding agreement. Any expenses incurred during the collaboration shall be the responsibility of the respective Party unless otherwise agreed in writing.
V. CONFIDENTIALITY
The Parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of this collaboration. Such information shall not be disclosed to any third party without prior written consent of the disclosing Party.
VI. DISPUTE RESOLUTION
In the event of any dispute or disagreement arising out of or relating to this MOU, the Parties shall engage in good-faith negotiations to resolve the matter amicably. If resolution is not achieved, the dispute shall be referred to mediation in the State of Oregon as agreed by the Parties.
VII. GENERAL PROVISIONS

Amendments: Any amendments to this MOU must be made in writing and signed by both Parties.

Governing Law: This MOU shall be governed by and construed in accordance with the laws of the State of Oregon.

No Partnership: Nothing in this MOU shall be construed to create a legal partnership, joint venture, or other formal business relationship between the Parties.
