PHOTOSHOOT CONTRACT


This Contract ("The Contract") is entered into as of [Effective Date] ("Effective Date"), by and between [Your Name], of [Your Company Address] (hereinafter referred to as the "Photographer"), and [Client's Name], of [Client's Address] (hereinafter referred to as the "Client").


1. SERVICES

1.1 The Photographer agrees to provide professional photography services for the Client at a designated location. These services include digital editing, retouching of photos, and delivery of digital files.

1.2 The Photographer will provide a detailed shot list for the Client to review and approve prior to the photoshoot. The Client may request specific shots or poses to be included in the final images.

1.3 The Photographer will deliver the edited, high-resolution digital images to the Client within [timeframe, e.g., two weeks] of the photoshoot date. The Client will receive a minimum of [number of photos] edited photos.

1.4 The Photographer will provide basic retouching and color correction for all images. Extensive retouching, such as removing objects or people from the background, may incur an additional fee.

1.5 The Photographer will provide a selection of proofs for the Client to review and select the final images for editing. The number of proofs provided will be [number of proofs].

1.6 The Client agrees to cooperate with the Photographer and follow any instructions given for the best possible outcome of the photoshoot.


2. PAYMENT

2.1 The Client shall pay the Photographer a total fee of [Total Amount], payable as follows: [Payment Schedule]. The Photographer will invoice the Client for the amount due under the Contract, and payment is due upon receipt of the invoice.

2.2 A non-refundable deposit of [Deposit Amount] is required to secure the booking. The remaining balance is due on or before the date of the photoshoot.

2.3 The Client agrees to pay a late fee of [late fee amount or percentage] for any payments not received by the due date.

2.4 If the Client requests additional services or products not included in the original contract, the Photographer will provide an estimate for these services/products, and payment will be due upon acceptance of the estimate.

2.5 The Client agrees to reimburse the Photographer for any additional expenses incurred during the photoshoot, such as travel expenses or rental fees for special equipment, as agreed upon in advance.

2.6 In the event of a dispute regarding payment, both parties agree to attempt to resolve the dispute amicably before pursuing legal action.


3. CANCELLATION AND RESCHEDULING

3.1 In the event of a cancellation by the Client, the deposit fee is non-refundable. Cancellations made less than [Cancellation Period] days before the scheduled date of the photoshoot may incur an additional fee.

3.2 The Photographer reserves the right to reschedule the photoshoot due to inclement weather or unforeseen circumstances. Every effort will be made to accommodate the Client's schedule for the rescheduled date.

3.3 If the Client fails to provide access to the photoshoot location or is unable to proceed with the photoshoot at the scheduled time, the Photographer reserves the right to cancel the photoshoot and retain any payments made.


4. COPYRIGHTS AND USAGE RIGHTS

4.1 The Photographer retains all copyrights to the photos. The Client is granted permission to use the photos for personal use only, including printing, sharing on social media, and displaying in personal spaces.

4.2 The Client must obtain written permission from the Photographer for any commercial use of the photos, including but not limited to advertising, marketing, or selling of the images.

4.3 The Client agrees not to edit or alter the photos in any way without the Photographer's written consent.

4.4 The Photographer may use the photos for promotional purposes, including but not limited to, displaying them on the Photographer's website, social media accounts, and printed materials, unless otherwise agreed upon in writing.


5. LIABILITY

5.1 The Photographer's liability for any claim, loss, or injury arising from the Photographer's performance under this Contract is limited to the return of all payments made by the Client.

5.2 The Photographer is not responsible for any lost or damaged photos after they have been delivered to the Client.

5.3 The Client acknowledges that photography can be subjective, and the Photographer will make every effort to ensure the Client's satisfaction but does not guarantee specific outcomes or results.


6. CONFIDENTIALITY

6.1 All information related to this Contract is confidential and may not be disclosed to third parties without the written consent of both the Photographer and the Client.

6.2 The Photographer agrees not to use the Client's personal information for any purpose other than fulfilling the obligations under this Contract.

6.3 The Photographer agrees not to disclose any confidential information obtained during the course of the photoshoot, including but not limited to, personal information, locations, or creative concepts, without the Client's written consent.


7. ENTIRE AGREEMENT

7.1 This Contract constitutes the entire agreement between the Photographer and the Client and supersedes all prior oral and written agreements. This Contract can only be modified in writing and signed by both parties.

7.2 Any amendments or modifications to this Contract must be made in writing and signed by both parties.

7.3 This Contract shall be binding upon the parties, their successors, and assigns.


8. GOVERNING LAW AND JURISDICTION

8.1 This Contract shall be governed by and construed in accordance with the laws of the State of [State].

8.2 Any disputes arising out of or in connection with this Contract shall be resolved through arbitration in the State of [State].

8.3 This Contract shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law principles.
