General Release of Liability
I. Recitals
Whereas, [YOUR COMPANY NAME] ("Releasor"), a duly registered entity located at [YOUR COMPANY ADDRESS], desires to release and discharge WinGroup ("Releasee"), also a legally recognized entity located at Seattle, WA 98101, from any claims, demands, actions, causes of action, suits, damages, liabilities, and expenses of any nature, whether known or unknown, arising out of or in any way related to the incident that occurred on March 15, 2052 at Tech City Conference Center, involving a software malfunction that disrupted a major technology conference, and
Whereas, Releasee desires to be released and discharged from such claims and liabilities arising from the aforementioned incident.
II. Release of Claims
2.1 Scope of Release
Releasor hereby releases and forever discharges Releasee from all claims, demands, actions, causes of action, suits, damages, liabilities, and expenses of any nature, whether known or unknown, arising out of or in any way related to the incident. This release encompasses all aspects and consequences of the incident, including but not limited to bodily injury, property damage, financial loss, emotional distress, and any other form of damage or harm.
2.2 Third-Party Claims
Releasor agrees to indemnify and hold harmless Releasee from any claims or liabilities asserted by third parties arising out of Releasor's actions or omissions related to the released claims. This indemnification extends to legal fees, court costs, and any other expenses incurred by Releasee in defending against such third-party claims.
III. No Admission of Liability
3.1 Statement of Non-Admission
This Release is not an admission of liability by Releasee and is entered into by Releasee solely to compromise disputed claims. It is expressly acknowledged that this Release is a voluntary agreement entered into by both parties to resolve any potential disputes amicably and without resorting to prolonged legal proceedings.
3.2 Good Faith Agreement
Both parties enter into this Release in good faith and resolve any potential disputes fairly and equitably. This agreement reflects the parties' mutual understanding and acceptance of their respective rights, responsibilities, and obligations regarding the incident and its aftermath.
IV. No Future Claims
4.1 Waiver of Future Claims
Releasor irrevocably waives any right to make any future claims or demand any compensation from Releasee related to the released claims or the incident. This waiver extends indefinitely and encompasses all potential future incidents, damages, or losses arising directly or indirectly from the incident or its consequences.
4.2 Period of Release
This Release shall remain in full force and effect indefinitely unless terminated or modified in writing by both parties. The terms of this Release shall apply to any future incidents or events related to the subject matter herein, ensuring a comprehensive and enduring resolution of all claims and liabilities arising from the incident.
V. Entire Agreement
5.1 Comprehensive Agreement
This Release constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. Any modifications or amendments to this Release must be made in writing and signed by both parties to be valid and enforceable.
5.2 Severability Clause
If any provision of this Release is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. The parties agree to negotiate in good faith to replace any invalid or unenforceable provision with a valid and enforceable provision that achieves the intended purpose of the Release.
VI. Governing Law
6.1 Jurisdiction
This Release shall be governed by and construed under the laws of California, without regard to its conflict of laws principles. Any disputes arising out of or in connection with this Release shall be subject to the exclusive jurisdiction of the courts located in San Francisco, California.
6.2 Dispute Resolution
Any disputes, controversies, or claims arising out of or relating to this Release, its interpretation, enforcement, or breach, shall be resolved through arbitration under the rules of the American Arbitration Association. The arbitration proceedings shall be conducted in San Francisco, California and conducted in the English language.
