This Non-Disclosure Agreement (the "Agreement") is entered into as of [Insert Date] by and between [Your Company Name], a corporation with its principal place of business located at [Your Company Address] (hereinafter referred to as the "Company"), and [Visitor's Full Name], of [Visitor's Address] (hereinafter referred to as the "Recipient" or "Visitor").

WHEREAS, the Company operates a nursing home facility that provides care and services to residents, including some who may have special medical or personal care needs;

WHEREAS, the Visitor wishes to enter the Company’s premises for the purpose of visiting a resident or for other approved reasons;

WHEREAS, during the course of the visit, the Visitor may be exposed to or acquire confidential and proprietary information related to the Company’s residents, operations, procedures, or business practices;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

  1. Definition of Confidential Information: For the purposes of this Agreement, "Confidential Information" shall include all information, in any form or medium, disclosed by the Company to the Visitor, directly or indirectly, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This includes but is not limited to, residents' personal information, medical records, financial information, business strategies, and any other information related to the Company's care, services, or operations.

  1. The Obligation of Confidentiality: The Visitor agrees to:

  • Maintain the confidentiality of the Confidential Information;

  • Not disclose the Confidential Information to any third party without the prior written consent of the Company;

  • Use the Confidential Information solely for the purpose of the authorized visit and not for any personal gain or detrimental purpose.

  1. Exceptions to Confidential Information: The obligations set forth herein shall not apply to information that:

  • Is or becomes publicly known through no breach of this Agreement by the Visitor;

  • Is lawfully received from a third party without restriction and without breach of this or another nondisclosure agreement;

  • Is independently developed by the Visitor without use of or reference to the Confidential Information.

  1. Term and Termination: This Agreement shall commence on the Effective Date and shall continue in effect until the Visitor’s visit to the Company’s premises is completed unless earlier terminated by either party with prior written notice. The obligations of confidentiality shall survive termination of this Agreement for 3 years from the date of termination.

  1. General Provisions:

  • Governing Law: This Agreement will be regulated, interpreted, and understood in compliance with the laws governing the jurisdiction of [State] as specified.

  • Amendment: This Agreement cannot be considered as effectively modified or amended unless such modifications or amendments are expressed in written form and are duly signed by both parties involved.

  • Entire Agreement: This Agreement contains the entire understanding between the parties and supersedes all prior and contemporaneous agreements and understandings, oral or written, relating to the subject matter hereof.
