Nursing Home Personal Protective Equipment (PPE) SLA

This Service Level Agreement (SLA) is entered into by and between [Your Company Name], hereinafter referred to as the "Nursing Home", and [Second Party], hereinafter referred to as the "Supplier", effective [Effective Date]. The purpose of this agreement is to establish the terms and conditions governing the procurement and management of Personal Protective Equipment (PPE) within the Nursing Home.

1. Definitions

1.1. "Nursing Home" refers to [Your Company Name], located at [Your Company Address], responsible for providing care services to residents.

1.2. "Supplier" refers to [Second Party], the entity responsible for supplying PPE products and services to the Nursing Home.

1.3. "PPE" refers to Personal Protective Equipment, including but not limited to masks, gloves, gowns, face shields, and other equipment necessary for the protection of residents and staff.

2. Scope of Services

2.1. The Supplier shall provide the Nursing Home with a range of PPE products as specified in Exhibit A attached hereto.

2.2. The Nursing Home shall ensure that the PPE products supplied meet the quality standards and specifications outlined in Exhibit A.

3. Responsibilities of Parties

3.1. The Nursing Home shall

Provide accurate forecasts of PPE requirements to the Supplier on a regular basis.

Maintain appropriate inventory levels of PPE to meet the needs of residents and staff.

Promptly notify the Supplier of any changes in demand or requirements for PPE products.

Ensure compliance with relevant laws, regulations, and industry standards related to the procurement and usage of PPE.

3.2. The Supplier shall

Deliver PPE products to the Nursing Home in accordance with the agreed-upon delivery schedule.

Ensure that all supplied PPE products meet the quality standards and specifications outlined in Exhibit A.

Provide timely response and resolution to any issues or concerns raised by the Nursing Home regarding PPE products or services.

Comply with all applicable laws, regulations, and industry standards related to the supply of PPE.

4. Service Level Requirements

4.1. Delivery Schedule

The Supplier is obligated, according to the agreement, to deliver Personal Protective Equipment (PPE) products to the Nursing Home. This delivery should be completed within a timeframe which will be stipulated specifically. This timeframe begins from the moment the Supplier receives a purchase order from the Nursing Home.

4.2. Quality Standards

All products provided under the category of Personal Protective Equipment that we will supply are obligated to either meet or exceed the specific quality standards that have been detailed and outlined in Exhibit A.

4.3. Quantity and Pricing

The pricing structure and quantity allocation of Personal Protective Equipment (PPE) products shall adhere to the details stipulated in Exhibit A. However, these factors are not immune to potential modifications which might arise owing to changes in market conditions. Additionally, volume-based discounts can also introduce further adjustments to these initial terms.

5. Inventory Management

5.1. The Nursing Home shall maintain accurate records of PPE inventory levels and provide regular inventory reports to the Supplier upon request.

5.2. The Supplier shall monitor PPE inventory levels and work with the Nursing Home to replenish stock as needed to prevent shortages.

6. Compliance and Reporting

6.1. Both parties shall comply with all applicable laws, regulations, and industry standards related to the procurement and usage of PPE.

6.2. The Nursing Home shall promptly report any issues or concerns related to the quality or supply of PPE products to the Supplier for resolution.

7. Performance Measurement and Evaluation

7.1. Performance reviews shall be conducted [frequency] to evaluate the Supplier's performance based on predefined metrics, including but not limited to on-time delivery, product quality, and responsiveness to issues.

8. Termination Clause

8.1. Either party may terminate this agreement upon [notice period] written notice to the other party in the event of a material breach of the terms and conditions outlined herein.

9. Dispute Resolution

9.1. Any disputes arising from this agreement shall be resolved through good faith negotiations between the parties. If a resolution cannot be reached, either party may seek mediation or arbitration in accordance with applicable laws.

10. Confidentiality

10.1. Both parties shall maintain the confidentiality of any proprietary or sensitive information shared between them in the course of performing their obligations under this agreement.

11. Amendment and Modification

11.1. Any amendments or modifications to this agreement must be made in writing and signed by authorized representatives from both parties.

12. Governing Law
