Finance Budget Confidentiality NDA

1. Definition of Confidential Information:

For purposes of this Agreement, "Confidential Information" shall include all data, materials, and information related to the Finance Budget Development & Management of Disclosing Party, including but not limited to, financial reports, projections, budget plans, strategies, and any other information deemed confidential by the Disclosing Party.

2. Obligations of the Receiving Party:

2.1 Maintain the confidentiality of the Confidential Information with at least the same degree of care that it uses to protect its own confidential and proprietary information, but in no event less than a reasonable degree of care.

2.2 Use the Confidential Information solely for the purpose of performing duties and responsibilities for the Disclosing Party.

2.3 Not disclose, share, or disseminate the Confidential Information to any third party, unless authorized in writing by the Disclosing Party.

2.4 Inform the Disclosing Party immediately upon discovery of any unauthorized use or disclosure of Confidential Information.

3. Return of Confidential Information:

Upon termination of this Agreement or upon the Disclosing Party's written request, the Receiving Party shall return all copies of Confidential Information to the Disclosing Party or certify, in writing, the destruction thereof.

4. No License:

Nothing in this Agreement shall be construed as granting any rights or licenses, explicitly or implicitly, to the Receiving Party with respect to the Confidential Information.

5. Term:

The confidentiality obligations of this Agreement shall remain in effect for a period of two (2) years from the date of this Agreement.

6. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of law principles.
