I. Introduction

A. Purpose of Contract

II. Term of Agreement

A. Effective Date and Duration

Maintenance and Repairs

Timely repair and maintenance services for facility infrastructure, including plumbing, electrical, HVAC, and other essential systems.

Recreational Activity Planning and Coordination

Designing and executing recreational programs, outings, and events to promote social engagement, physical activity, and mental stimulation.

  1. The parties may agree to add or modify services through written amendment to this Contract, ensuring flexibility to accommodate changing needs and circumstances.

B. Service Standards

  1. Vendor shall perform all services with utmost professionalism, adhering to industry best practices and regulatory requirements.

  2. The Nursing Home reserves the right to review and evaluate the quality of services provided by Vendor, maintaining high standards of care and service delivery.

IV. Pricing and Payment Terms

A. Pricing

  1. The pricing for goods and services provided by Vendor shall be as set forth in Exhibit A attached hereto, detailing the unit prices for each service category.

B. Payment Terms

  1. The Nursing Home shall pay Vendor in accordance with the payment terms outlined in Exhibit A.

  2. Payments shall be made monthly within 30 days of receipt of an invoice from Vendor, ensuring timely compensation for services rendered and products supplied.

V. Quality Assurance

A. Inspection and Acceptance

  1. The Nursing Home reserves the right to inspect and evaluate all goods and services provided by Vendor to ensure compliance with contractual requirements and industry standards.

  2. Vendor shall facilitate access to the premises and provide necessary documentation or records for inspection purposes upon request by the Nursing Home.

  3. Any deficiencies or non-conformities identified during inspections shall be promptly addressed by Vendor to the satisfaction of the Nursing Home.

B. Warranty

  1. Vendor warrants that all goods provided under this Contract shall be free from defects in materials and workmanship for a period of [Warranty Period] from the date of delivery.

  2. In the event of any defects or malfunctions covered by the warranty, Vendor shall promptly repair or replace the affected goods at no additional cost to the Nursing Home.

  3. The Nursing Home shall notify Vendor in writing of any warranty claims within a reasonable time after the discovery of the defect, providing necessary documentation and evidence to support the claim.

VI. Confidentiality

A. Protection of Confidential Information

  1. Each party agrees to maintain the confidentiality of any proprietary or sensitive information disclosed by the other party in connection with this Contract.

  2. Confidential information may include, but is not limited to, business plans, financial data, customer information, and trade secrets.

  3. Both parties shall exercise reasonable care to prevent unauthorized disclosure or use of confidential information, both during the term of this Contract and thereafter.

B. Use of Information

  1. Confidential information disclosed by one party to the other may only be used for the purpose of fulfilling obligations under this Contract.

  2. Neither party shall disclose confidential information to any third party without the prior written consent of the disclosing party, except as required by law or regulation.

  3. Upon termination or expiration of this Contract, both parties shall return or destroy all confidential information received from the other party, including any copies or derivatives thereof, unless otherwise agreed in writing.

VII. Termination

A. Termination for Convenience

B. Termination for Cause

  3. The non-breaching party shall provide the breaching party with written notice specifying the nature of the breach and a reasonable opportunity to cure the breach within [Cure Period].

  4. If the breach is not cured within the specified Cure Period, the non-breaching party may terminate this Contract without further notice.

VIII. General Provisions

A. Governing Law

  2. The parties shall negotiate in good faith to replace any invalid, illegal, or unenforceable provision with a valid, legal, and enforceable provision that achieves the intended economic effect of the invalid provision.

E. Waiver

  1. The failure of either party to enforce any provision of this Contract shall not constitute a waiver of such provision or any other provision hereof.

  2. No waiver of any provision of this Contract shall be effective unless in writing and signed by the waiving party.

F. Counterparts

  1. This Contract may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

  2. Facsimile or electronic signatures shall be deemed original signatures for purposes of this Contract.

G. Survival

  1. The rights and obligations of the parties under Sections V (Quality Assurance), VI (Confidentiality), and VIII (General Provisions) shall survive the termination or expiration of this Contract.
