VIII. Indemnification
Each party agrees to indemnify, defend, and hold harmless the other party and its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all liabilities, losses, damages, costs, and expenses, including reasonable attorney fees, arising out of or in connection with any breach of this Agreement by the indemnifying party.
