Travel Agency Marketing Agreement
This Travel Agency Marketing Agreement (“Agreement”) is entered into on [Date], by and between:
Provider
[Second Party], a corporation organized and existing under the laws of the State of [Jurisdiction], with its principal place of business located at [Second Party Address] (“Provider”),
and
Travel Agency
[Your Company Name], a limited liability company organized and existing under the laws of the State of Jurisdiction, with its principal place of business located at [Your Company Name] (“Travel Agency”).
WHEREAS, Provider is engaged in the business of operating luxury hotels and resorts worldwide, and Travel Agency specializes in marketing and selling travel services to leisure and business travelers;
WHEREAS, Provider desires to engage Travel Agency to market and promote its luxury hotel accommodations, and Travel Agency desires to undertake such marketing activities on behalf of Provider, subject to the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows:
1. Services Offered
Provider agrees to provide the following services to customers referred by Travel Agency:
Luxury hotel accommodations at select properties owned and operated by Provider, including room reservations, concierge services, and amenities such as spa treatments and dining experiences.
2. Marketing Obligations
Travel Agency agrees to undertake the following marketing activities to promote Provider’s luxury hotel accommodations:
Implement targeted advertising campaigns on digital platforms such as Google Ads and social media channels including Facebook and Instagram.
Organize promotional events and exclusive offers for Travel Agency's clients, highlighting the unique features and amenities of Provider's properties.
Enhance online presence through the creation of engaging blog posts, articles, and travel guides featuring Provider's luxury hotels.
3. Pricing and Commission Structure
The pricing of luxury hotel accommodations offered by Provider and the commission structure for Travel Agency shall be as follows:
Room rates and package prices will be provided to Travel Agency at wholesale rates, with a standard commission of 15% on all bookings generated by Travel Agency.
4. Booking Procedures
Travel Agency shall follow the booking procedures outlined by Provider, including:
Utilizing Provider’s online booking portal to make reservations for clients.
Adhering to Provider’s cancellation and modification policies, including any applicable fees or restrictions.
Facilitating payments through secure online platforms or direct billing arrangements with Provider.
5. Term and Termination
This Agreement shall commence on [Effective Date] and shall continue in full force and effect for a period of one (1) year, automatically renewing for successive one-year terms unless terminated by either party upon thirty (30) days prior written notice.
6. Intellectual Property Rights
Provider retains all rights to its trademarks, logos, and other intellectual property associated with its luxury hotel properties. Travel Agency shall not use Provider’s intellectual property without prior written consent for marketing purposes.
7. Confidentiality
During the term of this Agreement and thereafter, both parties shall maintain the confidentiality of all confidential information shared between them, including customer data and marketing strategies.
8. Indemnification
Each party agrees to indemnify and hold harmless the other party from any liabilities, damages, or losses arising out of or related to the performance of this Agreement, including but not limited to claims of false advertising or breach of confidentiality.
9. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of [Jurisdiction]. Any dispute arising under this Agreement shall be resolved exclusively in the courts of [Jurisdiction].
10. Miscellaneous Provisions
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.
