This Salon Service Level Agreement ("Agreement") is made effective as of [Insert Date], by and between [Your Company Name], a business incorporated under the laws of [State/Region], with its principal place of business located at [Your Company Address] ("Salon"), and [Service Provider Name], a company organized and existing under the laws of [State/Region], with its principal office located at [Service Provider Address] ("Service Provider").
WHEREAS, the Salon is engaged in the business of providing beauty and wellness services and requires certain services and products that are critical for its operations;
WHEREAS, the Service Provider specializes in providing [Service/Product], and has agreed to supply these services/products to the Salon in accordance with the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree to the provisions outlined in this Agreement aimed at ensuring the timely and effective provision of said services and products.
I. Scope of Services
A. Service Provision: The Service Provider agrees to supply the Salon with comprehensive beauty product supplies, including but not limited to hair care products, skin care items, and beauty tools necessary for salon operations.
B. Delivery and Installation: The Service Provider will also be responsible for the timely delivery and proper installation (if applicable) of products or equipment provided to the Salon. Deliveries shall be made on a bi-weekly basis, or more frequently as agreed upon by both parties.
C. Additional Services: Upon request, the Service Provider will provide training for the Salon's staff on the use of any new products or equipment. Such training sessions are to be scheduled at least two weeks in advance.
II. Performance Standards
A. Quality of Products: All products supplied by the Service Provider must meet specified quality standards and be approved by relevant health and safety regulatory bodies. Products must be free from defects and suitable for professional use in a salon environment.
B. Timeliness of Deliveries: Deliveries must be made within three business days of the scheduled delivery date. The Service Provider must notify the Salon at least 24 hours in advance if any delays are expected.
C. Customer Service: The Service Provider must provide customer service support Monday through Friday, from 9:00 AM to 5:00 PM, with the ability to respond to any Salon inquiries or issues within 24 hours.
III. Monitoring and Reporting
A. Performance Review Meetings: The Salon and the Service Provider shall hold quarterly performance review meetings to discuss service delivery, product quality, and any concerns arising from the ongoing business relationship.
B. Reporting Requirements: The Service Provider must submit monthly reports detailing delivery records, product quality issues, and any customer service interactions related to the Salon.
C. Compliance Audits: The Salon reserves the right to conduct compliance audits with reasonable notice to ensure that the Service Provider is adhering to all terms of this Agreement, particularly with respect to product quality and delivery schedules.
IV. Problem Management and Service Recovery
A. Issue Reporting: Any issues related to product defects, delivery delays, or service dissatisfaction must be reported to the Service Provider within 48 hours of occurrence.
B. Problem Resolution: The Service Provider is required to address and resolve any reported issues within five business days from the time of notification.
C. Emergency Situations: In cases of urgent issues that could significantly impact the operation of the Salon, the Service Provider must respond and initiate corrective action within 24 hours.
V. Compensation and Penalties
A. Service Fees: The Salon agrees to pay the Service Provider a monthly fee of $2,000 for the comprehensive supply and support services. Payment is due within 30 days of receipt of the monthly invoice.
B. Late Delivery Penalties: For each day that delivery of products or services is delayed beyond the agreed schedule without adequate prior notification, a penalty of 2% of that month’s service fee will be deducted from the next invoice.
C. Quality Failures: If the products supplied fail to meet the agreed quality standards more than twice in any 6-month period, the Salon may impose a penalty of 5% of the monthly fee, or seek replacement products at the Service Provider’s expense.
VI. Term and Renewal
A. Initial Term: The Agreement shall commence on [Start Date], and shall continue for a fixed term of three years, ending on [End Date].
B. Renewal Terms: This Agreement may be renewed automatically for successive one-year terms unless either party gives written notice of non-renewal at least 90 days prior to the end of the current term.
C. Termination Flexibility: Either party may terminate the Agreement with six months' written notice should there be significant changes in business operations or market conditions that fundamentally alter the basis of this Agreement.
VII. Confidentiality and Data Protection
A. Confidential Information: Both parties agree to maintain the confidentiality of all proprietary information exchanged in the course of this Agreement. This includes business processes, client lists, and pricing details.
B. Data Protection: The Service Provider agrees to comply with all applicable data protection laws and regulations in the handling of any personal data received from the Salon. Data must be securely stored and only used for purposes explicitly agreed upon by the Salon.
VIII. Dispute Resolution
A. Mediation: In case of any dispute, the parties agree to first attempt to resolve their differences through mediation administered by a mutually agreed upon mediator, to take place within 30 days of either party's request for such.
B. Arbitration: If mediation is unsuccessful, disputes will be resolved by binding arbitration under the rules of the American Arbitration Association, to be held in the state where the Salon is located.
IX. Termination
A. Termination for Cause: Either party may terminate this Agreement with immediate effect if the other party breaches any of its material obligations under this Agreement and fails to rectify the breach within 30 days of written notice.
B. Termination without Cause: Either party may terminate the Agreement without cause by providing at least 90 days written notice to the other party.
X. Miscellaneous
A. Amendments: This Agreement may only be amended or modified by a written document signed by both parties.
B. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state where the Salon is located.
C. Force Majeure: Neither party shall be liable for any failure to perform its obligations where such failure results from any act of God or other cause beyond such party’s reasonable control (including, without limitation, any mechanical, electronic, or communications failure).
D. Entire Agreement: This Agreement represents the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements or communications.
