This Salon Vendor Agreement ("Agreement") is made as of [Date], by and between [Your Company Name], with a principal business address at [Your Company Address] ("Company"), and [Vendor Name], with a principal business address at [Vendor Address] ("Vendor"). This Agreement outlines the terms and conditions under which the Vendor will supply products and/or services to the Company.
1. Scope of Work
The Vendor agrees to supply the Company with salon-related products and services, including but not limited to beauty supplies, hair care products, and grooming tools ("Products"). The Vendor shall ensure that all Products are of high quality, meet the Company's requirements, and are delivered in a timely manner according to the schedules established in this Agreement.
2. Vendor Obligations
The Vendor is required to maintain adequate stock of all contracted Products and ensure their availability for prompt delivery. Additionally, the Vendor must comply with all applicable laws, regulations, and standards pertaining to the manufacture, sale, and distribution of the Products. The Vendor shall uphold the confidentiality of the Company's business information and shall not disclose any details without prior written consent from the Company.
3. Company Obligations
The Company agrees to place orders in accordance with the terms set out in this Agreement and to provide timely payments as agreed upon in the Payment Terms section below. The Company will communicate its specific needs and provide reasonable notice to the Vendor of any changes to its product requirements or order volumes.
4. Pricing and Payment Terms
The prices for the Products shall be set forth in the initial order and shall be fixed for the term of this Agreement unless otherwise mutually agreed upon in writing. Payment terms are net thirty (30) days from the date of invoice, which the Vendor will issue upon delivery of the Products. Late payments by the Company shall incur interest at a rate of 1.5% per month.
5. Term and Termination
This Agreement shall commence on the Effective Date and continue for a period of one (1) year. Either party may terminate this Agreement upon giving thirty (30) days written notice to the other party. Upon termination, the Company shall pay for all Products received up to the date of termination, and the Vendor shall fulfill all pending orders prior to the effective date of termination.
6. Dispute Resolution
In the event of any disputes arising from or relating to this Agreement, the parties agree to first attempt to resolve the dispute through amicable negotiations. If the dispute cannot be resolved through negotiation, then the dispute shall be resolved by binding arbitration in the jurisdiction where the Company's headquarters are located. Each party shall bear its own costs in connection with the arbitration proceedings.
7. Miscellaneous
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral. Any amendments or modifications to this Agreement must be made in writing and signed by authorized representatives of both parties. The failure of either party to enforce any rights under this agreement shall not be construed as a waiver of those rights.
