Interior Design Service Contract
I. Introduction

II. Scope of Services

Concept Development: Based on the information gathered during the consultation, the Designer will develop design concepts that reflect the Client's aesthetic preferences and functional needs. These concepts may include mood boards, sketches, color palettes, and inspirational images, which will be presented to the Client for review and feedback.

Design Development: Upon approval of the concept, the Designer will proceed with detailed design development. This phase involves refining the chosen concept, selecting specific furniture, fixtures, and finishes, and creating detailed drawings and specifications necessary for the implementation of the design.

Documentation: The Designer will prepare comprehensive documentation, including floor plans, elevation drawings, material boards, schedules, and specifications, detailing all aspects of the design. These documents will serve as a guide for contractors and suppliers involved in the project implementation.

Project Management: Throughout the project implementation phase, the Designer will provide project management services to ensure the smooth execution of the design plan. This includes coordinating with contractors, suppliers, and other relevant parties, conducting site visits as needed, and addressing any issues or concerns that may arise during the construction or installation process.
III. Client Responsibilities

Payment: The Client agrees to pay the Designer the agreed-upon fees for the design services in accordance with the payment schedule outlined in Section V of this Contract.

Cooperation: The Client will cooperate with the Designer by providing timely feedback and approvals on design concepts, materials, and other project-related matters. The Client will also promptly respond to any requests for information or clarification from the Designer to facilitate the smooth progress of the project.

Access: The Client will provide access to the premises where the design project will be implemented, including any necessary permits or permissions required for construction or installation work. The Client will also ensure a safe and conducive working environment for the Designer and their team during site visits or meetings.
IV. Designer's Responsibilities

Professionalism: The Designer will conduct themselves in a professional manner at all times, upholding the highest standards of ethics, integrity, and professionalism in their interactions with the Client and other project stakeholders.

Design Quality: The Designer will strive to deliver design solutions that meet the Client's aesthetic preferences, functional requirements, and budget constraints. The Designer will employ their expertise, creativity, and attention to detail to achieve the highest level of design quality.

Timeliness: The Designer will work diligently to meet project deadlines and milestones as outlined in the project schedule. The Designer will communicate any changes to the schedule or potential delays promptly to the Client and take proactive measures to minimize any impact on the project timeline.

Communication: The Designer will maintain open and transparent communication with the Client throughout the duration of the project. This includes providing regular updates on the project's progress, promptly addressing any questions or concerns raised by the Client, and seeking clarification or feedback as needed to ensure alignment with the Client's vision and expectations.
V. Fees and Payment Terms
The Client agrees to pay the Designer the following fees for the design services:

A. Payment Schedule:

50% of the total fee ($3000) upon signing this Contract.

B. Payment Method:

VI. Intellectual Property Rights

Ownership: The Client acknowledges that all design concepts, drawings, specifications, and other deliverables prepared by the Designer are the intellectual property of the Designer until full payment has been received.

Usage Rights: Upon full payment of all fees owed to the Designer, the Client will have the right to use the design materials for the intended project as specified in this Contract. However, the Client may not reproduce, modify, or distribute the design materials without the prior written consent of the Designer.
VII. Termination

Termination by Client: The Client may terminate this Contract at any time by providing written notice to the Designer. In such cases, the Client will be responsible for paying the Designer for all services rendered up to the termination date, as well as any expenses incurred by the Designer on behalf of the Client.

Termination by Designer: The Designer may terminate this Contract if the Client fails to fulfill their obligations under this Contract, including but not limited to non-payment of fees, failure to provide necessary information or approvals, or breach of contract. In such cases, the Designer reserves the right to cease work on the project and seek legal remedies as provided by law.
VIII. Dispute Resolution
In the event of any dispute arising out of or in connection with this Contract, the Parties agree to first attempt to resolve the dispute amicably through good-faith negotiations. If the dispute cannot be resolved informally, the Parties may pursue other legal remedies as provided by law.
IX. Governing Law
This Contract shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
X. Entire Agreement
