I. Parties
This Deed of Adherence ("Deed") is made on [Date], by and between:

II. Background
Whereas, the Original Parties have entered into a certain agreement dated [Date] (the "Original Agreement"), which governs the establishment and operation of a joint venture for renewable energy projects;
Whereas, the New Party desires to become a party to the Original Agreement and to be bound by its terms and conditions;
Whereas, the Original Parties have agreed to admit the New Party to the Original Agreement subject to the terms and conditions set forth herein.
III. Agreement
A. Adherence to the Original Agreement
The New Party hereby irrevocably and unconditionally adheres to the Original Agreement and agrees to be bound by all of its terms and conditions.
B. Rights and Obligations
The New Party acknowledges that by becoming a party to the Original Agreement, it shall have all the rights and obligations of an Original Party as set forth therein.
C. Representations and Warranties
The New Party represents and warrants to the Original Parties that:

It has full power and authority to enter into and perform its obligations under this Deed.

The execution, delivery, and performance of this Deed by the New Party have been duly authorized by all necessary corporate action.

This Deed constitutes a legal, valid, and binding obligation of the New Party, enforceable against it by its terms.
D. Governing Law and Jurisdiction
This Deed shall be governed by and construed following the laws of [Jurisdiction]. Any dispute arising out of or in connection with this Deed shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
E. Counterparts
This Deed may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute the same instrument.
F. Entire Agreement
This Deed constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
