This Deed of Sale ("Deed") is made and entered into on this May 15, 2050, by and between Seller [Your Name], residing at [Your Company Address], hereinafter referred to as the "Seller," and Buyer [Buyer's Name], residing at [of Buyer Address], hereinafter referred to as the "Buyer.

I. Property Description

The Seller hereby agrees to sell and convey to the Buyer, and the Buyer agrees to purchase from the Seller, the following described property (the "Property") situated in Cityville, Stateville, more particularly described as follows:

III. Deposit

Upon the execution of this Deed, the Buyer shall pay a deposit of One Thousand Dollars ($1,000) to the Seller as earnest money, which shall be held in escrow by ABC Escrow Services until the closing of the sale.

IV. Terms of Sale

  1. Closing Date: The closing of the sale shall take place on or before June 30, 2024, unless extended by mutual agreement of the parties.

  2. Title: The Seller agrees to convey marketable title to the Property, free and clear of all liens, encumbrances, and defects in title.

  3. Inspections: The Buyer shall have 15 days from the effective date of this Deed to conduct any inspections or investigations of the Property at Buyer's expense.

  4. Property Condition: The Property shall be conveyed to the Buyer in its present condition, subject to ordinary wear and tear.

  5. Contingencies: This sale is contingent upon the Buyer obtaining satisfactory financing within 30 days from the effective date of this Deed.

V. Closing Costs

The Seller shall be responsible for attorney fees and transfer taxes, and the Buyer shall be responsible for appraisal fees and recording fees, unless otherwise agreed upon in writing by the parties.

VI. Miscellaneous Provisions

  1. Governing Law: This Deed shall be governed by and construed by the laws of the State of Stateville.

  2. Entire Agreement: This Deed constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter herein.

  3. Severability: If any provision of this Deed is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
