1. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" shall include all written, oral, electronic, or visually observed data that the Disclosing Party deems proprietary or confidential, including but not limited to:

  • Business plans

  • Recipes and proprietary food preparation techniques

  • Customer lists and data

  • Supplier information

  • Financial projections

  • Marketing strategies

  • Operational processes and procedures

2. Purpose of Disclosure

The purpose of disclosing Confidential Information under this Agreement is to explore potential business collaborations, partnerships, or investment opportunities between the parties involved.

3. Obligations of the Receiving Party

The Receiving Party hereby agrees to:

  1. Maintain the confidentiality of the Confidential Information using the same degree of care as it uses to protect its own confidential information, but in no event less than a reasonable standard of care.

  2. Use the Confidential Information solely for the Purpose defined in Section 2.

  3. Restrict disclosure of the Confidential Information solely to employees, agents, or third parties who need to know such information for the Purpose, and who are bound by confidentiality obligations at least as stringent as those in this Agreement.

  4. Not disclose or use the Confidential Information without the Disclosing Party's prior written consent, except as specifically permitted in this Agreement.

4. Exceptions to Confidential Information

The obligations of confidentiality shall not apply to information that:

  • Was in the Receiving Party's possession prior to disclosure by the Disclosing Party, as evidenced by written records.

  • Is or becomes publicly known without breach of this Agreement.

  • Is lawfully received from a third party without restriction on use or disclosure.

  • Is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

  • Is required to be disclosed by law or court order, provided that the Receiving Party gives prompt notice to the Disclosing Party and cooperates in any legal action to limit the scope of such disclosure.

5. Term and Termination

This Agreement shall commence on the date first written above and shall continue in effect for a period of [DURATION] or until terminated by either party with thirty (30) days' prior written notice.

6. Governing Law and Jurisdiction

This Agreement shall be governed by, and construed in accordance with, the laws of the State of [State], without regard to its conflict of laws principles.
