Recitals

1. Scope of Work

The Contractor shall be responsible for the complete execution of the Project, which includes but is not limited to the design, construction, and final handover of the restaurant establishment. 2. Term

4. Performance Standards

4.1 Quality of Work


The Contractor agrees to perform the work in a professional manner and in accordance with the highest standards of the industry. The Contractor shall comply with all applicable local, state, and federal regulations during the performance of the work.

4.2 Compliance and Safety

  • Ensure all materials and workmanship meet or exceed industry standards.

  • Adhere to all safety regulations to prevent accidents and injuries on-site.

  • Provide regular safety briefings and training to all workers involved in the Project.

5. Changes to the Scope of Work

5.1 Amendment Procedure


Any changes to the scope of work shall be made in writing and signed by both Parties. Any such changes may require an adjustment to the Contract Price and/or the schedule for completion.

5.2 Change Order Documentation


All changes will be documented through change orders, which will detail the modification, its impact on the schedule and budget, and the rationale for the change.

6. Warranties and Representations

6.1 Contractor's Warranties


The Contractor warrants that all work performed shall be done in a competent manner and in compliance with the Contract's specifications, industry standards, and all applicable laws and regulations. The Contractor shall correct any defective work at its own expense.

6.2 Duration of Warranties


The warranties provided by the Contractor shall remain in effect for a period of [Warranty Period] from the date of completion and acceptance of the Project by the Company.

7. Termination

7.1 Termination for Cause


Either Party may terminate this Contract for cause if the other Party fails to fulfill a material obligation under the Contract, provided that the terminating Party gives the other Party written notice specifying the breach. If the breach is not cured within [Cure Period], the terminating Party may terminate the Contract by giving written notice to the other Party.

7.2 Termination for Convenience

8. Indemnification

8.1 Contractor's Indemnity


The Contractor shall indemnify and hold harmless the Company, its officers, agents, and employees from and against any claims, damages, losses, and expenses arising out of or resulting from the performance of the work, provided that such claims, damages, losses, or expenses are attributable to bodily injury, sickness, disease, or death, or to injury to or destruction of tangible property.

9. Dispute Resolution

9.1 Negotiation


In the event of any dispute or controversy arising out of or in connection with this Contract, the Parties agree to negotiate in good faith to resolve the dispute.

9.2 Mediation/Arbitration


If the dispute is not resolved within [Negotiation Period] days, either Party may submit the dispute to mediation or binding arbitration in accordance with the rules of [Arbitration Association]. The decision of the arbitrator shall be final and binding on both Parties.

10. Confidentiality

10.1 Non-Disclosure

11. Governing Law
