Architecture Payment Contract
This Architecture Payment Contract ("Agreement") is made and entered into on [Date] by and between [Your Company Name], with a business address at [Your Company Address] ("Architect"), and [Client Name], with a residential/business address at [Client Address] ("Client").
WHEREAS, the Architect is a duly licensed and experienced professional engaged in the practice of architecture, offering a range of architectural services;

WHEREAS, the Architect has agreed to provide such services in accordance with the terms and conditions set forth in this Agreement;
NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties hereto agree as follows:
I. Project Description
The Architect shall provide architectural services for the Project, including schematic design, design development, construction documents, and construction administration. The estimated timeline for completion is as follows:

II. Compensation

III. Invoicing and Payment Terms
A. Invoice Frequency: The Architect shall issue invoices to the Client on a monthly basis.
B. Payment Due Dates: Payments are due within 30 days of the date of the invoice.
C. Late Payment Penalties: Late payments will incur a penalty of 1.5% per month on the overdue amount.
IV. Reimbursable Expenses
A. Types of Expenses: The Client agrees to reimburse the Architect for the following expenses incurred in connection with the Project:

B. Expense Approval: All reimbursable expenses must be approved by the Client in writing before they are incurred.
V. Changes to Scope of Work
A. Change Order Process: Any changes to the scope of work must be documented in a written change order signed by both parties.
B. Impact on Fees: The Architect shall inform the Client of any impact on fees and the payment schedule resulting from the change. Any additional fees or adjustments to the payment schedule must be agreed upon in writing by both parties.
VI. Client Responsibilities
A. Provision of Information: The Client agrees to provide all necessary information and make timely decisions as required for the Architect to perform the services. This includes providing accurate and complete project requirements, site information, and any other relevant data.
B. Access to Site: The Client shall ensure that the Architect has access to the project site as needed for site inspections, meetings, and any other activities necessary to perform the services.
C. Timely Payments: The Client agrees to make all payments in accordance with the terms specified in this Agreement. Failure to do so may result in delays to the project timeline.
VII. Architect Responsibilities
A. Performance Standards: The Architect agrees to perform the services with a standard of care consistent with that expected of a professional architect. The Architect shall ensure that all work is performed diligently, competently, and in a timely manner.
B. Compliance with Laws: The Architect shall ensure that the Project complies with all applicable building codes, regulations, and laws. The Architect will obtain any necessary permits and approvals required for the Project.
C. Communication: The Architect shall maintain regular communication with the Client, providing updates on the progress of the Project and informing the Client of any issues or changes that may arise.
VIII. Dispute Resolution
A. Arbitration: Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding on both parties.
B. Jurisdiction: This Agreement shall be governed by the laws of the state of [State], and any legal proceedings related to this Agreement shall be conducted within that jurisdiction.
IX. Termination
A. Termination by Either Party: This Agreement may be terminated by either party upon 30 days written notice.
B. Effects of Termination: In the event of termination, the Client shall pay the Architect for all services rendered and reimbursable expenses incurred up to the date of termination. The Architect shall deliver to the Client all completed and partially completed documents and other work product prepared in connection with the Project.
X. Miscellaneous Provisions
A. Confidentiality: The Architect agrees to keep all information regarding the Project confidential and shall not disclose any such information to third parties without the prior written consent of the Client.
B. Ownership of Documents: All drawings, plans, and other documents produced by the Architect shall remain the property of the Architect. The Client shall have a non-exclusive license to use these documents for the purposes of the Project.
C. Indemnification: The Client agrees to indemnify and hold harmless the Architect from any claims, damages, or expenses arising out of the Project, except to the extent caused by the Architect's negligence or willful misconduct.
D. Amendments: Any amendments to this Agreement must be in writing and signed by both parties.
